Prudential Agrees To Sell Brazil And Mexico Units For $4.025 Billion In Cash

Prudential Financial has agreed to sell its Brazilian and Mexican insurance businesses to France's CNP Assurances Group for approximately $4.025 billion in cash, according to an 8-K filed Tuesday. The price is subject to closing adjustments.

What the 8-K says

Prudential signed definitive agreements to sell 100% of its equity interests in Prudential of Brazil and Prudential of Mexico. CNP Seguradora, CNP Assurances' Brazilian subsidiary, buys the Brazil unit, and CNP Assurances Holding buys the Mexico unit.

The company expects the deal to close in the second half of 2027, subject to regulatory approvals. Additional terms were not disclosed, according to the news release attached to the filing.

Prudential intends to use the proceeds for its capital allocation priorities and to invest in retirement, asset management and select protection businesses in the U.S., Japan and select European markets.

Part of a wider exit from emerging markets

The sale follows earlier agreements to sell the company's joint venture stakes in PT PFI Mega Life Insurance in Indonesia, Alexforbes in South Africa and ICEA LION in Kenya. Those sales closed on October 13, the company said.

Chairman and CEO Andy Sullivan said Prudential remains focused on "narrowing our geographic footprint and building a simpler, more focused Prudential." The company says the transactions together show execution of its plan to exit emerging markets.

The buyer describes itself as Brazil's third-largest insurer, with more than 8,500 employees. CNP Assurances CEO Marie-Aude Thépaut called the deal "a major step forward in our development in Latin America" and cited the Life Planner network among the capabilities that impressed the buyer. CNP says the deal builds its position in Brazil and gives it a presence in Mexico.

What to watch

The deal needs regulatory approvals in Brazil and Mexico before it can close. Prudential shares closed at $113.67 at Monday's close, before the filing was accepted Tuesday morning.

Prudential has not yet said how much of the $4.025 billion will go to each of the named growth areas.
