PROCEPT BioRobotics Adds Cardiac Surgeon Dr. Michael Mack To Its Board, Expanding Directors To Ten

PROCEPT BioRobotics' board voted Friday to add a tenth seat and immediately fill it with Dr. Michael Mack, a cardiac surgeon who has practiced in Dallas since 1982 and holds board certifications in internal medicine, general surgery, and thoracic surgery. The appointment, disclosed in an 8-K filed with the SEC on Friday, makes Mack an independent Class II director effective immediately.

What The Filing Says

The board first approved an increase in its size from nine members to ten, then appointed Mack to fill the resulting vacancy — both actions taken on October 2, 2026, according to the 8-K. The company, headquartered at 150 Baytech Drive in San Jose, California, trades on the Nasdaq Global Market under the ticker PRCT.

Mack's credentials span decades of clinical practice and institutional leadership. He currently chairs the board of the Baylor Scott & White Research Institute, serves as Associate Academic Officer of Baylor Scott & White Health, and chairs the American Board of Thoracic Surgery. He also co-chairs the FDA Heart Valve Collaboratory and holds the position of Senior Vice Chair of the National Institutes of Health's Cardiothoracic Surgical Trials Network. He additionally serves as a consultant to the Mussallem Congenital Heart Disease Alliance.

His prior leadership posts include the presidency of the Society of Thoracic Surgeons in 2011, the presidency of the Thoracic Surgery Foundation for Research and Education from 2009 to 2011, the presidency of the Southern Thoracic Surgical Association in 2009, and the presidency of the International Society for Minimally Invasive Cardiothoracic Surgery in 2000.

Mack earned his medical degree from Saint Louis University and completed residencies in internal medicine at the University of Minnesota and in general surgery and thoracic surgery at the University of Texas Southwestern Medical Center. The filing notes he has authored more than 1,100 peer-reviewed publications over his career.

Compensation And Independence

The board determined that Mack meets the independence standards set by the SEC and Nasdaq listing rules. His pay will follow the same structure applied to the company's other non-employee directors, as laid out in the definitive proxy statement PROCEPT filed with the SEC on April 22, 2026.

Mack will also enter into the company's standard director and officer indemnification and advancement agreement — a form first filed as an exhibit to the company's amended registration statement in September 2021.

The 8-K states explicitly that no prior arrangements or understandings with any other person governed his appointment, and that no related-party transactions requiring disclosure under SEC rules exist.

Market Reaction And What To Watch

PRCT shares slipped about 0.06% to $17.15 in Friday after-hours trading, essentially flat following the disclosure, according to market data.

Mack's initial term as a Class II director runs through PROCEPT's 2029 annual meeting of stockholders, at which point he will stand for re-election or succession. The 8-K was signed by Alaleh Nouri, the company's Chief Legal Officer and Secretary.

Mack's first board term expires at PROCEPT's 2029 annual stockholder meeting, the filing states.
