PriceSmart's Tax Rate Fell To 26.8% While It Reserved More Against Credits Expiring From Fiscal 2030

PriceSmart, which runs membership warehouse clubs in Central America, the Caribbean and Colombia, cut its effective tax rate to 26.8% in fiscal 2026 from 28.4%, citing "favorable tax contingency adjustments and tax credits recognized." In the same annual report, the company set aside $10.8 million against its foreign tax credits, up from $7.0 million, and says those credits begin expiring in fiscal 2030.

A lower rate, a bigger reserve

Net income rose to $166.6 million, or $5.40 per diluted share, from $147.9 million, or $4.82. Provision for income taxes was $61.1 million against $58.6 million a year earlier, on pretax income of $227.7 million versus $206.5 million.

The tax footnote shows foreign tax credits trimmed the bill by $27,665 thousand, up from $20,850 thousand. The company records a valuation allowance, a reserve against an asset it may not be able to use, because the credits it generates exceed its U.S. tax liability.

Foreign subsidiaries' payments to PriceSmart are taxed at source, and that withholding generates the credits. It has historically applied them to reduce U.S. tax. Fourth-quarter results show the same pattern: the rate fell to 25.0% from 32.0%, which the company also tied to favorable contingency adjustments and tax credits.

What changed from last year's explanation

The prior year's 10-K credited the 28.4% rate to tax optimization initiatives at the start of fiscal 2025. This year's explanation leans on contingency releases and credits instead.

Unrecognized tax benefits fell to $1,293 thousand from $2,668 thousand, and expiring statutes of limitations released $2,464 thousand.

Receivables with no reserve

The auditor again flags uncertain tax positions and tax receivables as a critical audit matter. Income tax receivables stood at $59,995 thousand at August 31, 2026, up from $48,350 thousand, alongside $36,831 thousand of VAT receivables. The company has recorded no allowance against either, saying it believes it is more likely than not to prevail in its refund requests and appeals.

The business behind the numbers is steady growth. PriceSmart ended the year with 58 warehouse clubs, and membership income rose 17.8% to $100.8 million, or 38.6% of operating income. Operating income was $261.0 million.

PriceSmart plans four more clubs, in Jamaica, Guatemala, Costa Rica and Chile, which would bring it to 63.
