Pictet Asset Management SA now holds 5.2% of Elastic, or 5,445,175 shares, according to a Schedule 13D (an SEC ownership filing) with a date of event of October 5. The Geneva-based investment adviser says it is talking to the board about strategy and governance, and that it has no plan to take control.

What the 13D says

Pictet said it is "actively engaging with the Issuer to discuss and promote initiatives" tied to four areas: the clarity of long-term strategy, the quality of governance and leadership, financial performance and fair valuation, and material sustainability risks.

The filing says Pictet "may seek to influence the Issuer's policies and practices" through talks with the board and management. It also says Pictet has no plans that would change control of Elastic and does not intend to buy more shares to gain control.

The adviser kept an exit open: it reserved the right to change its intentions and act as it sees fit as its engagement continues.

Pictet holds sole voting power over 5,429,533 shares. The filing puts the stake at about 5.18% of the class.

Whose money, and how it traded

Pictet bought the shares for institutional clients it manages on a discretionary basis. The filing puts the cost at approximately $412.5 million, funded from those clients' assets.

The clients, not Pictet, are entitled to dividends and sale proceeds. Pictet's own interest is limited to management fees and any performance-based pay agreed with clients.

The filing says Pictet has no derivatives, options or third-party agreements tied to the stock.

The trade log shows heavy buying on October 5, including 129,016 shares at $92.25 and 88,984 shares at $94.23. It also shows selling and buying since early August, including a sale of 279,279 shares at $99.21 on August 28.

What it changes for holders

Elastic now has a disclosed 5% holder that says it will talk to the board. The filing frames this as engagement, not confrontation.

Elastic shares rose 1.18% to $96.03 in Tuesday trading as of 10:05 a.m. ET, versus a prior close of $94.91, according to market data. The market value was $10.0 billion.

Any later amendment to the Schedule 13D would show whether Pictet changes its stated intentions or its position.
