Ovintiv Earns $549 Million In Third Quarter And Agrees To Buy Canada's Logan Energy

Ovintiv, the Denver-based explorer and producer of oil, natural gas and natural gas liquids, reported third-quarter net earnings of $549 million, or $1.99 per diluted share, up from $148 million a year earlier. In the same release Tuesday, it said it agreed to buy Canada's Logan Energy for C$1.40 a share in cash, a deal valued at about $890 million including assumed net debt.

Cash flow doubles the year-earlier figure

Non-GAAP free cash flow, the company's cash flow after capital spending, was $680 million after $563 million of capital expenditures. A year earlier it was $351 million. Cash from operating activities was $1.1 billion, and non-GAAP cash flow was $1.2 billion.

Third-quarter production averaged 631 thousand barrels of oil equivalent a day, including 204 thousand barrels a day of oil and condensate. The year-earlier total was 630.4 thousand, per the supplemental tables. Capital spending came in below the midpoint of the $550 million to $600 million guidance range.

CEO Brendan McCracken said the company is "on track to achieve record annual free cash flow."

Logan deal and $457 million of acreage

The Logan offer is valued at C$1.26 billion including the assumption of net debt, the company said.

Separately, Ovintiv completed $457 million of acreage purchases in the quarter. They added about 120 net well locations in the Montney in Canada and about 120 in the Permian, at an average cost of $1.3 million to $1.7 million per 10,000-foot-equivalent location. Ovintiv's two segments are USA Operations, covering the Permian and Anadarko, and Canadian Operations, covering the Montney.

Debt down, buybacks up from a year ago

Net debt was $3.4 billion at September 30, or about 0.7 times adjusted EBITDA, a measure of trailing 12-month earnings before interest, taxes and certain items. Total liquidity was about $3.8 billion, including $3.5 billion of available credit facilities and $176 million of cash. The company also bought back about $109 million in principal of its senior notes in the quarter.

Shareholder returns totaled about $467 million, roughly 69% of free cash flow. That was $386 million of buybacks, covering about 6.3 million shares, and $81 million of dividends. Buybacks in the third quarter of 2025 were $160 million, per the cash flow statement. The company expects full-year returns above 60% of free cash flow.

It maintained 2026 guidance apart from a modest increase to expected NGL volumes. The fourth-quarter outlook assumes an ongoing third-party midstream outage in the Montney lasts the whole quarter.

Ovintiv holds its earnings call and webcast Wednesday at 10:00 a.m. EST, and its $0.30-per-share dividend is payable December 31 to holders of record December 15.
