Ocugen Pushes Vote On 250 Million More Authorized Shares To October 26
The special meeting was adjourned a second time, with the July 27 record date unchanged.
Ocugen adjourned its special stockholder meeting again on Monday, so the vote on a charter change adding 250,000,000 authorized common shares now falls on October 26. An 8-K the company filed describes it as the second delay on that one proposal.
What the 8-K says
The filing, made under Item 5.07 (the section that reports votes of security holders), says Ocugen reconvened its Special Meeting virtually on October 5, 2026. The meeting had first been adjourned on September 21, 2026.
Both adjournments applied solely to Proposal 1, the amendment to the company's Sixth Amended and Restated Certificate of Incorporation. It would raise the number of authorized shares of common stock, par value $0.01 per share, by 250,000,000.
At Monday's session the meeting was adjourned again, in the filing's words, "in order to provide additional time for stockholders to consider and vote on Proposal 1."
The adjourned meeting is set for October 26, 2026, at 8:00 a.m. Eastern Time. It will be held virtually at www.virtualshareholdermeeting.com/OCGN2026SM.
What it changes for holders
The amendment has not been approved, and the filing gives no vote tally. The decision on the larger share pool moves from the September 21 and October 5 sessions to late October.
The record date, which decides who is entitled to vote, stays at the close of business on July 27, 2026. Anyone who held shares on that date keeps the right to vote. Shares bought after it do not carry a vote.
Stockholders who have already submitted a proxy or voted, and who do not want to change their vote on Proposal 1, need not do anything, according to the filing. The 8-K was signed by Shankar Musunuri, the company's Chairman, Chief Executive Officer and Co-Founder.
What to watch
The adjourned meeting on October 26 at 8:00 a.m. Eastern will take up the authorized-share proposal again. In market data from Tuesday's early morning, OCGN shares were at $1.04, up 1.96%.
The next dated event is the October 26 session at 8:00 a.m. Eastern, where Proposal 1 is again the only item left open.
