NeoGenomics Picks COO Warren Stone To Succeed CEO Tony Zook On January 4, 2027
An 8-K sets Stone's pay at $850,000 base salary, and the company says it expects to raise its full-year revenue guidance.
NeoGenomics said in an 8-K filed Monday that President and Chief Operating Officer Warren Stone will become CEO on January 4, 2027, replacing Tony Zook, who moves to executive chairman. The same filing carried preliminary third-quarter revenue of about $209 million and a statement that the company expects to raise its full-year revenue guidance.
What the 8-K says about leadership
The board approved the appointments on September 30, 2026. Zook stays CEO through January 3, 2027, and Stone also joins the board when he takes over.
Stone is 54. He joined NeoGenomics in November 2022 as president of clinical services, became chief commercial officer in April 2024, and was named president and chief operating officer in April 2025, according to the filing. From 2020 to 2022 he was president of commercial Americas at Ortho Clinical Diagnostics.
Board changes come with the handoff. Chair Lynn Tetrault steps down as chair on January 4, 2027, will stay on as an independent director until the 2027 annual meeting, and does not plan to stand for reelection. Michael Kelly, an independent director, becomes lead independent director. The board also raised its maximum size from ten to eleven directors.
What each executive will be paid
Stone's amended employment agreement sets a base salary of $850,000 and a target bonus of 100% of base. He is eligible for annual equity awards, starting in fiscal 2027, with a target value of about $8,000,000, granted at the compensation committee's discretion.
Zook's agreement as executive chairman sets a $400,000 base salary and a target bonus of 50% of salary. His restricted stock unit awards carry a target value of about $3,000,000 a year.
Both agreements pay one times base salary and one times target bonus, plus a year of COBRA health premiums and some accelerated equity vesting, if the company fires the executive without cause or the executive quits for good reason. Within 24 months after a change in control, or three months before one, severance rises to two times base salary for each.
Preliminary third-quarter numbers
In the press release, a preliminary, unaudited estimate, NeoGenomics put third-quarter revenue at about $209 million. Revenue from next-generation sequencing (NGS) rose about 28% from a year earlier.
The company reiterated its full-year revenue and adjusted EBITDA (earnings before interest, taxes, depreciation and amortization) guidance from July 28, 2026. It also said it expects to raise full-year revenue guidance and will give details on its third-quarter earnings call.
NeoGenomics shares closed Monday at $19.13, up 3.57%, according to market data.
Zook said the handoff reflects years of board succession planning, and that his move to executive chair is meant to preserve the current strategy. The third-quarter earnings call will bring final results and the size of the guidance raise.
