Madrigal Faces Whistleblower Retaliation Suit Just As Rezdiffra Delivers First Profitable Quarter
A former employee alleges retaliation after raising data concerns; Madrigal earned $55.4 million in the quarter and says it will fight the suit.
A former employee sued Madrigal Pharmaceuticals, the maker of the liver-disease drug Rezdiffra, on October 9, alleging retaliation under the Sarbanes-Oxley whistleblower provisions after raising concerns about company data and reporting practices. The company disclosed the suit in its quarterly report filed Tuesday, the same day it reported its first profitable quarter.
The complaint and the company's response
The case, Charlton v. Madrigal Pharmaceuticals, was filed in the US District Court for the Northern District of Illinois. The plaintiff, who resigned in January 2026, is asking for monetary damages and other relief.
Madrigal disputes the allegations and plans to defend itself vigorously, the filing says.
The legal language around it moved too. The prior quarter's report was not carrying this passage; the new one says it is possible an unfavorable resolution of disputes "could adversely affect us," and adds that the company books a reserve when a loss is both probable and reasonably estimable. Management still says it does not expect pending proceedings to have a material adverse effect.
A first profit, one quarter old
Madrigal, a biopharmaceutical company focused on MASH, a serious liver disease that can lead to cirrhosis and liver failure, reported third-quarter net income of $55.4 million on product revenue of $431.3 million, up 50% from a year earlier. A year earlier it lost $114.2 million.
The nine-month picture is still red: a net loss of about $96.9 million and an accumulated deficit of about $2,187.4 million. The company warns it may post losses in future quarters.
The 10-Q also shows the company revised prior-year per-share loss figures to correct how shares were counted, after concluding the effect was not material. Revised 2025 nine-month loss per share is $8.12, against $10.32 as first reported.
Shares traded at $457.04, up 6.00% from the prior close, in Tuesday trading, for a market value of about $10.0 billion.
Cash, debt and the trial pipeline
Madrigal held $961.8 million in cash and marketable securities at September 30, against $988.6 million at year-end, and says that is enough to fund operations for more than a year. It owes $350.0 million on a term loan at 8.48%, and had $305.9 million of active-ingredient supply obligations, expected to be paid through 2029.
MAESTRO-CSPH, a second Phase 3 cirrhosis trial, is slated to start in the first half of 2027 if regulatory talks go as hoped. It expects data from its MAESTRO-NASH OUTCOMES trial in late 2027.
Madrigal's defense in the Northern Illinois court is the next step; the filing quantifies no reserve for the case.
