LendingTree General Counsel Heather Novitsky To Leave Role December 31

LendingTree, which runs online marketplaces where consumers compare loan and insurance offers, said General Counsel Heather Novitsky will leave that role December 31, 2026, according to an 8-K filed Friday. The same filing reports a rewrite of the company's bylaws that the board adopted Tuesday.

A Transition Through March 12

Novitsky is general counsel of LendingTree, LLC, the operating subsidiary. After December 31 she will remain a non-executive employee doing transition services until March 12, 2027, when her employment ends without cause, the filing says.

The Compensation Committee of the board approved Tier A severance benefits for her under the company's Executive Severance Pay Plan. The benefits depend on her signing a general release of claims, not revoking it, and continuing to honor the restrictive covenants in that release.

Bylaws Rewritten On Tuesday

On Tuesday, October 27, the board adopted a Sixth Amended and Restated set of bylaws, effective immediately. They replace the Fifth Amended and Restated version.

The changes clarify how hybrid stockholder meetings work, update advance-notice rules for stockholder nominations and proposals, and spell out the board's power to postpone, reschedule or cancel an annual meeting. They also clarify the power of a meeting's chair to adjourn it, and conform the text to amendments to Delaware corporate law.

Under the new text, a stockholder's nomination or proposal notice for an annual meeting must reach the company's secretary no less than 90 and no more than 120 days before the anniversary of the prior year's annual meeting.

The Business Behind The Departure

LendingTree earns fees from a network of about 770 partners, mostly lenders and insurance carriers, usually when it sends them a consumer request. Insurance was its biggest segment in 2025, bringing in $711.9 million of $1,117.3 million in total revenue, and one partner, Progressive Casualty Insurance, accounted for 27% of revenue, according to its annual report. As of December 31, 2025, it had 926 employees.

Novitsky's role ends December 31, 2026, and her employment ends March 12, 2027.
