Lattice Semiconductor Names McCool To Pay Panel, Skillern To Audit Committee
The two new directors each get a $10,000 annual retainer for committee service, the company said in an amended filing.
Lattice Semiconductor, which designs low power programmable chips, has now disclosed in an amended filing that its board put new director Raejeanne Skillern on the Audit Committee and John McCool on the Compensation Committee, both effective October 29. The amendment, dated Friday, fills a gap in the company's original report.
Seats filled a week after arrival
McCool and Skillern joined the board effective October 21, according to the original 8-K filed October 22. That report said the board had not yet decided which committees they would join.
The board settled it on October 29, the amendment says. Skillern took an audit seat and McCool a compensation seat.
The amendment changes nothing else in the original report.
Independence tests and a $10,000 retainer
The board had already found both directors independent under Nasdaq listing standards. It has now also found that Skillern meets the extra independence rules for audit committee members, and that McCool meets those for compensation committee members.
Each will receive the company's customary additional annual cash retainer for non-employee directors on those committees, currently $10,000 per year. No other new pay arrangements came with the appointments, and the pay terms described in the original report stand.
The company behind the board
Lattice makes field programmable gate arrays, chips that customers configure through software, and also sells related software, design services and technology licenses. Outside partners manufacture and assemble its chips. Its customers are mainly equipment makers in communications and computing, industrial and automotive, and consumer markets.
As of January 3, 2026, it had 1,174 employees worldwide.
The company's Nasdaq-listed shares trade under the symbol LSCC, and the amendment was signed by General Counsel Tracy Feanny on October 30.
