International Bancshares Will Leave Nasdaq For The Texas Stock Exchange On October 19, Keeping Ticker IBOC

International Bancshares, the Laredo bank holding company, said in an 8-K filed Tuesday that it has told Nasdaq it will voluntarily withdraw its listing and move its common stock to the Texas Stock Exchange. The ticker stays IBOC, and trading on the new exchange is set to begin at market open on Monday, October 19, 2026.

What the 8-K says

The filing, under Item 3.01 (the section covering delisting and listing transfers), says the board authorized the notice to Nasdaq. The company expects Nasdaq listing and trading to end at the close on Friday, October 16, 2026.

The stock has already been approved for listing on the Texas exchange, known as TXSE, where it will keep trading as "IBOC." A press release attached as Exhibit 99.1 says no action is required by shareholders.

The company also plans a closing-bell ceremony in Houston on December 7, 2026. Dennis E. Nixon, the company's chairman and CEO, signed the filing.

What the executives said

Nixon said the move brings the primary listing "to the state where our business has prospered for 60 years." He added that the company is "confident in its ability to create new opportunities for our business and our investors."

James H. Lee, chairman and CEO of TXSE, called International Bancshares "one of the great franchises in Texas banking." He said it opened in Laredo in 1966 with less than $1 million in assets and has grown into a $17 billion institution.

The company behind the ticker

The company owns five separately chartered banks, ranging from about $567 million to $10.2 billion in assets. Consolidated assets total about $17.0 billion.

It serves 75 communities in Texas and Oklahoma through 165 facilities and 245 ATMs. Its flagship bank was founded in Laredo in 1966.

IBOC shares closed at $69.49 at Monday's close, down 0.50% from the prior session, before the filing became public Tuesday morning. Market value was $4.3 billion, according to market data.

What to watch

The release's forward-looking statements list "operational, regulatory, or technical challenges related to the TXSE listing" among the risks. The first date to watch is October 19, when IBOC is due to open on the Texas exchange.

After the October 16 Nasdaq close and the October 19 TXSE open, the next date the company has named is the December 7 closing-bell ceremony in Houston.
