Houlihan Lokey Director Todd Carter Quits Board Effective Immediately, 8-K Says No Dispute Involved

Todd J. Carter resigned from Houlihan Lokey's board on Friday, effective immediately, according to an 8-K the company filed Monday. The filing says his decision was not the result of any disagreement with the company.

What the 8-K says

The filing reports the departure under Item 5.02, the section public companies use to disclose changes among directors and certain officers. It gives October 2 as the date of the earliest event reported, which is Friday.

The operative sentence says Carter's decision "was not the result of any disagreement with the Company on any matter relating to the Company's operations, policies or practices."

The filing was signed Monday by Prabha S. Bhandari, the company's chief legal officer and secretary.

What it changes

One seat on the board is now empty. The filing names no successor or replacement director and gives no reason for the exit beyond the no-disagreement statement.

HLI shares were unchanged at $126.90 in Monday after-hours trading, according to market data. That reading does not reflect the filing.

The 8-K says nothing about who, if anyone, will fill Carter's seat, so a later filing would be the place to look for that.
