Hims & Hers Names Rivian's Corporate Controller Its Principal Accounting Officer, With A $3 Million Stock Grant
Jonathan Franklin, 43, replaces Irene Becklund, who stays on as an adviser until July 10, 2027, the company's 8-K says.
Hims & Hers Health's board appointed Jonathan Franklin, 43, as principal accounting officer effective October 9, according to an 8-K filed Wednesday. He replaces Irene Becklund, whose resignation the company had already disclosed.
What the 8-K says
Franklin began work on October 5 as chief accounting officer. Until October 2026 he was Rivian's vice president and corporate controller, a post he took in April 2024, according to the filing.
At Rivian he was vice president of accounting from December 2023 to April 2024, and senior director of corporate accounting from March 2022 to December 2023. Before that he spent years at PwC, starting in 2006, most recently as an assurance director from June 2019 to March 2022. He is a certified public accountant in Michigan and holds two University of Michigan degrees in accounting.
Becklund's advisory agreement runs from October 10, 2026, to July 10, 2027, and she will keep supporting the company in that role.
The pay package
Franklin's terms, as the filing lists them:
- Base salary of $425,000, with a discretionary annual bonus targeted at 50% of salary.
- A $150,000 signing bonus, paid in installments and tied to nine months of continued service.
- Restricted stock units with a $3,000,000 grant value. A quarter vests on the first quarterly vesting date after the one-year anniversary of the vesting start, and the other 75% vests quarterly in roughly equal installments over the following three years.
His employment is at-will. If the company fires him without cause, or he leaves for good reason, he gets nine months of salary and target bonus, subsidized health coverage and continued equity vesting. After a change in control, that becomes twelve months, plus full vesting of unvested awards. Both depend on him signing a release of claims.
The filing says no arrangement or understanding lies behind his appointment, he has no family ties to directors or executive officers, and he has no related-party transactions requiring disclosure. He will sign the company's standard indemnification agreement.
Context and what to watch
Hims & Hers shares closed at $29.54, up 0.24%, at Wednesday's close (market data), before the filing was accepted at 4:13 p.m. ET.
The change follows other leadership moves. On October 1, the company named regional chief medical officers for the UK and EMEA and for Australia, both reporting to its global chief medical officer. A Yahoo Finance commentary noted the company also faces an FTC privacy case and a Novo Nordisk lawsuit over compounded GLP-1 drugs.
Franklin formally becomes principal accounting officer on Friday, and Becklund's advisory role starts Saturday.
