HCA Moves To Retire $1.2 Billion Of 4.5% Notes With A New Senior Debt Sale
HCA Inc. set a December 2 redemption for its February 2027 notes, contingent on the proceeds of a proposed senior notes offering.
HCA Healthcare's subsidiary HCA Inc. told holders on Monday it will redeem all $1.200 billion of its 4.500% senior notes due February 2027, and launched a proposed public offering of new senior notes to help pay for it, according to an 8-K.
A redemption that hinges on the sale
The redemption is set for December 2, 2026. It is conditioned on HCA Inc. receiving the offering's net proceeds before that date, so the old notes stay outstanding if the new sale does not deliver the cash.
The company said the new notes are proposed, subject to market and other considerations. Their maturity, interest rate and principal amount will depend on market conditions at pricing, according to the press release.
Where the money would go
HCA Inc. plans to use the net proceeds for general corporate purposes. Those may include redeeming all or part of the $1.200 billion of 4.500% notes, repaying borrowings under its $8.000 billion commercial paper program, and repaying any borrowings under its senior unsecured credit facility.
Mizuho Securities USA, Barclays Capital, BofA Securities and Wells Fargo Securities are the joint book-running managers. The offering is made under an effective shelf registration statement filed with the SEC.
A hospital operator's debt stack
HCA Healthcare runs hospitals and outpatient facilities in the United States and England. At December 31, 2025, it operated 190 hospitals, 121 freestanding ambulatory surgery centers and 31 freestanding endoscopy centers, and its revenue for 2025 was $75.6 billion.
HCA Inc. is a direct, wholly owned subsidiary of the parent company and is the issuer of the new notes.
Pricing will set the size, rate and maturity of the new notes, and the December 2 redemption depends on that cash arriving first.
