Goldman CEO Solomon Unloads $10.9 Million In Shares Right After Award Hits Its Cap

Goldman Sachs CEO David Solomon sold 12,000 shares of the bank's stock on Tuesday at an average $910.72, about $10.9 million, an SEC filing shows. The sale came four days after a 2021 performance award was delivered to him at its maximum 150% level.

Three open-market sales on Tuesday

Solomon sold in three blocks: 9,181 shares at a weighted average $910.46, 2,382 at $911.49 and 437 at $912.11. All were open-market sales from his direct holdings.

Afterward he held 190,556 shares: 159,180 directly and 31,376 indirectly through trusts. Goldman closed Tuesday at $911.77, which puts the stake at about $173.7 million. The sale is the only one he filed since July 29, the window reviewed.

Of the trust shares, one trust's sole beneficiaries are his immediate family, and he disclaims beneficial ownership of those shares.

A 2021 award pays out at the maximum

Friday brought a no-cost delivery of 109,896 shares tied to his Shareholder Value Creation Award, a performance-based restricted stock unit grant from October 2021. Per the filing, the payout hit the 150% ceiling because preset absolute and relative total shareholder return targets were fully met.

Goldman withheld 60,773 of those shares at $891.30 to cover tax obligations. Those delivered shares are restricted from sale or transfer until October 2027, so Tuesday's sale did not come from them.

The bank behind the stock

Goldman Sachs is a global financial institution serving corporations, financial institutions, governments and individuals. Its segments are Global Banking & Markets, Asset & Wealth Management and Platform Solutions, which is mostly Apple Card activity. As of December 2025 it had 47,400 employees.

The shares have risen 14% over the past twelve months.

The delivered award shares stay locked until October 2027, while Solomon's 12,000 shares sold equal 5.92% of the 202,556 he held before the sale.
