F5 CEO Locoh-Donou Gets 63,791 Shares After Company Hits Performance Targets

F5 CEO Francois Locoh-Donou received 63,791 shares of company stock on Thursday, a grant worth an estimated $20.7 million at Monday's close, according to a Form 4, the report insiders file after trading. The shares were earned after F5 met performance targets on three restricted stock unit awards, and the filing came Monday.

Three award cycles pay out

The filing says the shares vest from performance targets tied to restricted stock unit awards dated November 1, 2023, November 1, 2024 and November 3, 2025.

After the grant, Locoh-Donou holds 210,780 shares directly, valued at about $68.4 million at Monday's close of $324.55. The new shares make up 30.26% of that reported stake.

The award is not a sale. The only sale in his Form 4 history since August 4 was 3,782 shares at about $412.44 on August 5, worth $1.6 million.

A stock up 32.5% this year

F5 provides software, cloud services and hardware that deliver and secure applications and APIs across data centers, public clouds and the network edge. Its main product families are BIG-IP, NGINX and Distributed Cloud Services.

The shares closed Friday at $338.34, up 32.5% this year, within a 52-week range of $223.76 to $483.30. They fell 4.08% at Monday's close.

The company reported fiscal fourth-quarter revenue of $917.4 million, up 13.3% from a year earlier. The stock reacted negatively even though revenue and adjusted earnings beat analyst expectations, and operating margin slipped as F5 spent on sales capacity and marketing aimed at AI security.

F5 shares rose 31.8% over the trailing 12 months through the October 30 close, the stretch in which the CEO's performance-based award was earned.
