Ecovyst CEO Gets 104 Weeks Of Severance, Double The 52 Weeks Other Executives Receive

Ecovyst, which recycles spent sulfuric acid for North American refineries, will pay its chief executive 104 weeks of pay if he or she is fired without cause or quits for good reason, twice the 52 weeks owed other executive officers, according to an 8-K filed Wednesday. The board's compensation committee approved the rewritten severance plan on Thursday, October 22.

Twice the standard payout for the CEO

The Second Amended and Restated Ecovyst Catalyst Technologies LLC Severance Plan took effect October 22. It replaces a version that took effect January 1, 2022, and covers eligible employees of the company and its subsidiaries, including named executive officers.

For executive officers, pay means base salary plus target annual bonus. Outside a change-in-control window, an officer terminated without "Cause" or resigning for "Good Reason" gets 52 weeks of that pay; the CEO gets 104 weeks. Severance is paid as a lump sum.

If an executive already has an individual severance agreement, the officer receives whichever of that agreement or the plan pays more.

Richer terms around a takeover

If a termination falls inside the change-in-control protection period, officers get the greater of the standard amount or 18 months of pay. For the CEO, the alternative is 30 months.

The period begins six months before a change in control and ends 24 months after it.

A sulfuric acid recycler

Ecovyst provides virgin and regenerated sulfuric acid products and services. Refineries use its recycled acid to make alkylate, a gasoline blending component, and it also treats waste and activates fuel-production catalysts. Its 2025 sales were $723.5 million, and it had 617 employees at the end of that year.

The plan's definitions of "Cause," "Good Reason" and "Change in Control" are set in the plan document, which the company filed as an exhibit to the 8-K.
