Copeland Capital Holds 5.8% Of NAPCO Security, A Passive Stake, SEC Filing Shows
The adviser reported 2,081,285 NAPCO shares and certified it did not buy them to influence control of the company.
Copeland Capital Management reported owning 2,081,285 shares of NAPCO Security Technologies common stock, or 5.8% of the class, in a Schedule 13G filed Tuesday. The form is a passive ownership disclosure, and the event that triggered it is dated September 30, 2026.
What the filing says
Copeland, an investment adviser based in Conshohocken, Pennsylvania, reported sole voting power over 1,359,942 shares and shared voting power over 310,865. It reported sole dispositive power, meaning the right to decide whether to sell, over 1,670,807 shares.
The 5.8% is the cover-page figure. It follows the Rule 13d-3 method, which counts shares the holder could acquire within 60 days in both the holding and the share base.
The filing carries Copeland's certification that the shares were bought and are held in the ordinary course of business. It says they were not acquired to change or influence control of NAPCO.
What it changes
Nothing in the filing points to an activist aim. A 13G is the lighter ownership form, used by holders who say they are not seeking control, as opposed to the activist investor disclosure known as a 13D.
For NAPCO holders, a new 5%-plus holder with a passive certification adds a large named owner to the register. NAPCO shares closed at $36.18 on Tuesday, down 0.06% from $36.20 the prior session, for a market cap of $1.3 billion.
Copeland's filing lists NAPCO's address as 333 Bayview Avenue, Amityville, New York, and its own as 161 Washington St, Conshohocken.
