Copart's $10.50-Per-Share ACV Auctions Tender Offer Clears Antitrust Waiting Period

Copart's bid for ACV Auctions has cleared U.S. antitrust review: the waiting period under the Hart-Scott-Rodino Act (HSR) expired, and the offer's HSR Clearance Condition is satisfied, according to Amendment No. 4 to the Schedule TO filed Wednesday. The document is the tender offer statement that Copart's subsidiary first filed on September 17, 2026.

What the amendment says

The offer is made by Apple Merger Sub, a wholly owned Copart subsidiary, for all outstanding ACV common stock. It pays $10.50 per share, net in cash, without interest and subject to any applicable withholding taxes, under the Offer to Purchase dated September 17, 2026.

The amendment adds a new fourth paragraph to the "U.S. Antitrust" subsection of Section 16 of the offer document. That paragraph says Copart issued a press release on October 14, 2026, announcing the waiting period's expiration and the satisfaction of the condition.

The press release is attached as Exhibit (a)(5)(viii). Chief Financial Officer Leah C. Stearns signed the filing for both Copart and the subsidiary.

What it changes

One condition on the offer is now met. The filing's own terms are otherwise unchanged: the price, the share class sought and the Offer to Purchase stand as before.

The filing is the fourth amendment to the original statement, whose Offer to Purchase and Letter of Transmittal set out the offer's terms and conditions.

Copart shares closed at $26.37 on Tuesday, down 0.42% from $26.48 in the prior session, according to market data. The stock sits well below its 52-week high of $45.89, per Yahoo Finance data, and its market value was $24.4 billion as of Wednesday morning.

The filing is dated October 14, 2026, and the next document to watch is the fifth amendment or the final results report on the offer.
