Clorox Paid CEO Rendle $14,000,460 For Fiscal 2026 As Board Searches For Her Successor
The annual proxy confirms an active CEO search and one-time retention awards that sit outside the pay table's target-pay proportions.
Clorox CEO Linda Rendle received $14,000,460 in total compensation for fiscal 2026, against median employee pay of $83,267, according to the company's annual proxy filing dated Wednesday. The same document confirms the board is searching for her successor.
What the proxy says
In the shareholder letter, Rendle wrote that the board is "actively advancing our CEO search and transition." She added that her top priority is executing the strategy, and that she remains committed to running day-to-day operations and ensuring a smooth transition.
The executive pay section's footnote says the target-pay proportions leave out one-time retention awards tied to the CEO transition and a streamlined operating model. The proxy said 91% of Rendle's target compensation is at risk rather than fixed salary, a figure that excludes those awards.
On the board, nominee Russell Weiner chairs the compensation committee and is listed as executive chairman designate at Domino's Pizza. Director David Mackay is leaving, and the board shrinks from 11 to 10 seats.
The year Rendle describes
Rendle's letter calls fiscal 2026 a "pivotal transition year." Clorox bought GOJO Industries, now operating as Clorox Purell ProCare, and finished a U.S. enterprise software rollout that closed out a five-year digital transformation investment.
She wrote that the global health and hygiene portfolio now makes up more than half of net sales. She also said the company nearly doubled innovation across its expanded portfolio, with launches including Clorox PURE and Fresh Step Lightweight Litter.
Looking to fiscal 2027, the letter expects consumers to stay value-conscious as inflation and cost volatility shape purchases.
What it changes for holders
The proxy puts a CEO transition on the record while the incumbent stays in the job, and it carries retention awards that the standard target-pay math does not capture. Shareholders will vote on the executive compensation proposal.
Zacks Equity Research argued in a Yahoo Finance commentary that productivity gains from the systems overhaul should begin late in fiscal 2027. A separate Yahoo Finance report put the stock's 52-week range at $79.12 to $128.90, with a 6.2% dividend yield. In market data as of Thursday at 6:59 a.m. ET, the shares were $82.21, down 1.57% from the prior close.
Two things to watch: the board's naming of Rendle's successor, and the shareholder vote on executive pay, which now includes the transition retention awards.
