CDW Adds Sam Balaji, Ex-Deloitte Consulting Global CEO, As Tenth Board Seat, Audit Committee Role
The board grew from nine to ten directors on October 15, and the new member is independent under Nasdaq standards.
CDW's board raised its size from nine to ten directors on Thursday and appointed Saranga (Sam) Balaji to the new seat, an 8-K filed Monday shows. Balaji, who most recently was global CEO of Consulting & Advisory at Deloitte, will serve on the Audit Committee.
What the 8-K says
The appointment took effect immediately on Thursday, according to the filing. The board determined that Balaji is independent under the listing standards of the Nasdaq Global Select Market.
He will receive a prorated portion of the annual pay the company gives its non-employee directors. He and CDW will also sign the company's standard indemnification agreement.
The filing says there are no arrangements or understandings between Balaji and any other person under which he was picked, and that he has no material interest in any transaction requiring disclosure under Item 404(a) of Regulation S-K.
CDW issued a press release on Monday announcing the move, furnished as an exhibit to the 8-K.
Who Balaji is
The release says Balaji has more than three decades of experience in technology, advisory and global business leadership. At Deloitte, where he spent nearly three decades, it says he helped build and scale multibillion-dollar businesses spanning artificial intelligence, cloud, cybersecurity and digital transformation.
He also sits on the board of BlackLine, a provider of financial and accounting cloud software.
Christine A. Leahy, CDW's chair and chief executive, said that as technology decisions grow more consequential, Balaji's perspective "will be invaluable as we execute our growth strategy and deliver long-term value."
What it changes
The board has one more seat, and the Audit Committee gains a director whom the board has classed as independent. Nothing in the filing alters CDW's financial results or guidance.
In Monday trading, CDW shares closed at $152.65, according to market data. The filing carries a 4:23 p.m. ET acceptance time.
The compensation terms Balaji will receive are those described in CDW's April 10, 2026 proxy statement, prorated for his partial year.
