Bunge's Top Lawyer Steps Down November 9, Takes $240,000 Adviser Role Until 2027 Retirement

Bunge Global SA said Chief Legal Officer Joseph Podwika will step down effective November 9, 2026, when Ignacio Walker is appointed as his successor, according to an 8-K filed Monday. Podwika stays on as Senior Advisor to the Chief Executive Officer until he retires on November 5, 2027.

What the 8-K says

The filing, made under Item 5.02 (the section covering departures and appointments of officers), says Bunge announced the change on October 5, 2026. Podwika leaves the legal chief's post on the day Walker is appointed.

The filing was accepted at 4:18 p.m. ET on Monday, after the market close. The report was signed by Lisa Ware-Alexander, the company's Secretary.

Bunge shares closed at $107.32 in Monday trading, and were unchanged at that level in Monday after-hours trading, according to market data.

The pay changes

The reduced pay takes effect on January 1, 2027. From that date Podwika's annual base salary rate falls to $240,000.

He also loses eligibility for an annual bonus under the company's annual incentive plan for the 2027 performance year, and he will not receive annual equity awards in 2027.

Awards he already holds stay under the long-term incentive plan document and the terms of the award agreements. He also remains in the company's benefit programs, including the Bunge Executive Severance Plan, if his employment ends in a qualifying termination before his retirement date.

Where the severance terms are described

The filing points readers to Bunge's definitive proxy statement, filed with the SEC on April 10, 2026, for a description of benefits and severance, including under the severance plan. A copy of the plan was attached as Exhibit 10.1 to the company's quarterly report filed on July 27, 2022.

What to watch

Walker's appointment as Chief Legal Officer is slated for November 9, 2026, the same day Podwika's step-down takes effect.

The next dated step is November 9, 2026, when the handover to Walker takes effect; the pay cut for Podwika follows on January 1, 2027.
