Blavatnik's Access Industries Reports 6.6% Stake In Disc Medicine After Share Count Grows

Len Blavatnik's Access Industries group holds 2,943,410 shares of Disc Medicine, or 6.6% of the class, according to an amended ownership filing dated Monday. Disc Medicine, a clinical-stage biotech developing treatments for serious blood diseases, had sold new stock days earlier.

How the 6.6% is built

The stake sits in AI DMI LLC and consists of 2,739,329 common shares plus 204,081 pre-funded warrants. Those warrants can be exercised into shares at $0.0001 each.

The percentage is measured against 44,549,747 shares: the 44,345,666 shares outstanding reported in Disc Medicine's prospectus supplement filed October 21, 2026, plus the warrant shares.

Four reporting persons are named: AI DMI LLC, Access Industries Holdings LLC, Access Industries Management, LLC and Blavatnik. Blavatnik controls the management entity and holds a majority of the voting interests in the holdings company, which indirectly controls AI DMI. All but AI DMI disclaim beneficial ownership of the securities.

This is Amendment No. 7 to a Schedule 13D first filed January 9, 2023. The sixth amendment was filed October 22, 2025. The event date for this one is October 22, 2026, and it adds a joint filing agreement dated October 26, 2026.

The offering and the business

The filing follows Disc Medicine's launch of a $350 million public offering of common stock and pre-funded warrants, which changes the share base used to measure ownership.

Disc Medicine's candidates target red blood cell formation and function. Bitopertin is aimed at erythropoietic porphyrias, rare inherited diseases that cause severe sunlight sensitivity. DISC-0974 targets anemia in myelofibrosis and inflammatory bowel disease, and DISC-3405 targets polycythemia vera and sickle cell disease.

The stock closed at $77.66 on Monday, up 4.23% from $74.51 in the prior session, for a market value of about $3.3 billion.

The amendment only updates ownership figures; it states no new demands or intent from the Blavatnik group.
