BlackRock Discloses 5.2% Passive Stake In Gildan, 9.7 Million Shares

BlackRock holds 9,687,328 shares of Gildan Activewear, or 5.2% of the common stock, according to a passive ownership filing (a Schedule 13G) dated to a September 30, 2026 event. The Montreal apparel maker's shares closed at $40.06 on Tuesday, down about 0.67% on the session.

Votes and certification

BlackRock reports sole voting power over 8,711,579 of the shares and no shared voting power. The 5.2% figure is measured on the filing's own basis for counting a holder's share of the class.

In the filing, BlackRock certifies that the shares were acquired and are held in the ordinary course of business. It says they were not acquired to change or influence control of Gildan, which is why the passive form applies.

A group of BlackRock units

The position is not held by one entity. The filing reflects certain BlackRock business units, listed in an exhibit that names units including BlackRock Fund Advisors, BlackRock Institutional Trust Company and BlackRock Asset Management Canada Limited.

The filing says various persons have the right to receive dividends from the stock, or proceeds from its sale. No one person's interest, it says, exceeds 5% of the outstanding common shares.

Lawsuit and asset sale

Gildan is also facing a securities class action covering investors who bought its securities from February 19, 2025 to June 15, 2026. The suit alleges a roughly $500 million pull-forward of revenue into the distributor channel.

On Monday the company completed the sale of HanesBrands Australia for about 700 million Australian dollars in cash, with proceeds earmarked to repay debt. Gildan's market value was about $7.5 billion at Tuesday's close.

The deadline to seek lead-plaintiff status in the Gildan class action is December 14, 2026.
