Axcelis-Veeco Merger Slips To End Of First Quarter 2027 As China Review Drags On

Axcelis Technologies and Veeco Instruments now expect their all-stock merger to close by the end of the first quarter of 2027, the companies said Monday, with China's market regulator yet to clear it. The U.S. antitrust clock is also being reset: the parties plan a fresh filing because the existing clearance is about to expire.

Two regulatory gates still shut

Closing remains conditioned on approval from China's State Administration for Market Regulation, known as SAMR. The parties said they continue to work constructively with the agency to obtain clearance.

On the U.S. side, the current clearance under the Hart-Scott-Rodino Act, the federal premerger antitrust law, is nearing expiry. The companies plan to promptly make a new submission, and closing is also conditioned on that new waiting period expiring or ending early.

The companies cautioned there can be no assurance the deal will close on the new timeline, and it remains subject to satisfaction or waiver of all closing conditions.

The exchange ratio and the companies

Under the merger agreement, each Veeco common share will convert into 0.3575 Axcelis shares at closing, according to the press release. Veeco would survive as a wholly owned subsidiary of Axcelis.

Veeco makes semiconductor process equipment, including ion beam, laser annealing, chemical vapor deposition and wet processing systems. Its customers include chipmakers and foundries, hard disk drive and photonics manufacturers, and research centers. Axcelis, based in Beverly, Massachusetts, designs and makes ion implantation systems, a key step in chip manufacturing.

Veeco reported a backlog of $554.9 million at December 31, 2025, and parts, upgrades and service made up about 25% of its 2025 net sales.

A deal signed in September 2025

The companies signed the merger agreement on September 30, 2025. Axcelis's registration statement was declared effective by the SEC on December 31, 2025, the same day both companies filed their joint proxy statement and prospectus and began mailing it to stockholders.

Whether SAMR clears the deal, and how quickly the new Hart-Scott-Rodino waiting period runs, will decide if the end-of-first-quarter 2027 target holds.
