AutoZone director Claire R. McDonough told the board on Tuesday that she will not stand for reelection at the company's 2026 annual meeting of stockholders, according to an 8-K filed with the SEC on Friday. The filing says the cause is a scheduling conflict with her new employer, not a disagreement with AutoZone.

What the 8-K says

The filing, under Item 5.02 (the section for director and officer changes), says McDonough recently accepted a new executive role with a different company. That company's key events calendar conflicts with several of AutoZone's future board meetings.

The filing states that her decision "was not related to any disagreement with the Company on any matter relating to its operations, policies, or practices." The report covers an event dated October 6, 2026, and was signed October 9, 2026 by Jenna M. Bedsole, AutoZone's senior vice president, general counsel and secretary.

The board said it "would have preferred a different outcome." It thanked McDonough for her "wise counsel, valued insights, and meaningful contributions" during her tenure and wished her continued success.

What it changes

McDonough is not leaving now. She remains a director until the 2026 annual meeting, where she will not stand for reelection, so the board keeps its current makeup until then. The filing names no replacement.

For holders, the filing describes a planned departure tied to her new job, with the company explicitly ruling out a dispute over operations, policies or practices.

AutoZone shares closed Friday at $2939.85, up about 1%, in a session that ended before the filing was accepted at 5:30 p.m. ET (market data). The price move therefore does not reflect the disclosure.

The next marker is the 2026 annual meeting of stockholders, where McDonough will not appear on the ballot for reelection.
