Ally Financial's board adopted Third Amended and Restated Bylaws effective Monday, changing the rules for shareholder nominations and the limits on board size, according to an 8-K filed Wednesday.

What the 8-K says

The filing, made under Item 5.03 (the section for bylaw changes), says the board amended and restated the bylaws effective October 5, 2026. The full text is attached as Exhibit 3.1.

The company lists six principal changes:

  • Advance notice provisions, which govern how shareholders submit nominations, were modified to clarify and update certain information and procedural requirements.
  • Voting standards for matters put to stockholders were clarified.
  • The default record date provision, which sets who is entitled to vote, was aligned with Delaware law.
  • The restrictions on the size of the board were amended.
  • The scope of officer authority was clarified and aligned with Delaware law.
  • Electronic notice and communications provisions were revised to reflect Delaware law.

The filing also lists certain other administrative, ministerial, technical and conforming changes.

What it changes

For holders, the two items that bear on governance are the advance notice rules and the board-size restrictions. The 8-K gives no detail on what the new nomination requirements say or how the board-size restrictions were altered. It says its summary is qualified in its entirety by the full text of the bylaws in Exhibit 3.1.

The filing does not describe a reason for the changes. Ally is incorporated in Delaware, and several of the amendments are described as bringing provisions into line with Delaware law.

The 8-K is signed by Austin T. McGrath, Vice President, Controller, and Chief Accounting Officer, and dated October 7, 2026. In market data at Wednesday's 4:31 p.m. ET reading, ALLY shares were at $37.37, down 0.66%.
