Wynn Resorts' Macau subsidiary agreed to commit up to [MOP1,365,030,000](https://www.sec.gov/Archives/edgar/data/0001174922/000117492226000072/wynn-20261023.htm?ref=bullished.co) to a fund set up by the Macau government, according to an 8-K filed Friday. The contribution will count as non-gaming investment against the unit's obligations under its casino concession.

## A fund run by a government-created partner

Wynn Resorts (Macau) S.A., an indirect subsidiary of Wynn Resorts, signed a subscription agreement with Macau Project Management (No. 2) Limited, a limited liability company established by the Macau government. The partner acts as general partner of Macau SAR Government Guidance Fund No. 2, Limited Partnership Fund, which it established.

The commitment is a ceiling: the subsidiary agreed to put in up to the stated amount, to be contributed under the subscription agreement and the fund's limited partnership agreement.

## Credit toward concession obligations

The contribution will be applied toward the unit's committed investment obligations under its gaming concession contract with the Macau government, dated December 16, 2022\. The filing classes it as non-gaming investment.

Wynn Macau, Limited, the Hong Kong-listed parent of the Macau unit, [filed the announcement](https://www.sec.gov/Archives/edgar/data/0001174922/000117492226000072/ex991-subscriptionoffund.htm?ref=bullished.co) with the Hong Kong exchange on Friday, and Wynn Resorts furnished it to the SEC as an exhibit.

## Where Macau fits in Wynn's business

Wynn Resorts designs, builds and operates integrated resorts that combine luxury hotels, retail, dining, entertainment, convention space and casino gaming. It runs Wynn Palace and Wynn Macau in Macau through its roughly 72% ownership of Wynn Macau, Limited, according to its annual report for 2025\. It also runs Wynn Las Vegas and Encore in Nevada, and Encore Boston Harbor in Massachusetts.

Wynn shares closed at $72.73 on Friday, down from $75.13 at Thursday's close.

The commitment is the latest Macau item in Wynn's recent 8-K filings, which have also carried announcements from its Hong Kong-listed subsidiary.
