Wendy’s, which operates and franchises hamburger restaurants, rejected a Trian Partners-led group’s nonbinding [$7.35-per-share bid](https://www.sec.gov/Archives/edgar/data/0000030697/000119312526448576/d305992d8k.htm?ref=bullished.co) and announced Thursday a takeover defense that can dilute investors reaching 15% ownership without approval. The defense, adopted Wednesday, also covers additional purchases by existing holders at or above that threshold, according to the company’s SEC filing.

## The Committee Chooses Dave’s Way

The independent committee unanimously turned down the cash proposal, which covered shares the investor group does not already own. Wendy’s said the October 28 unsolicited bidders—Flynn Group, Sixth Street Partners, Trian Partners and BlueFive Capital—also refused limits on further share purchases.

Art Winkleblack, Wendy’s board chairman and an independent committee member, said the proposal “substantially undervalues Wendy’s [standalone prospects](https://www.sec.gov/Archives/edgar/data/0000030697/000119312526448576/d305992dex991.htm?ref=bullished.co) and long-term earnings potential.” The committee’s judgment rests on the value it expects from Dave’s Way, the strategy led by President and Chief Executive Officer Bob Wright.

Announced Thursday alongside third-quarter earnings, Dave’s Way [targets customer traffic](https://www.sec.gov/Archives/edgar/data/0000030697/000119312526448576/d305992dex991.htm?ref=bullished.co), market share and restaurant profitability. The plan prioritizes restaurant growth. Wendy’s said execution is underway, with a strengthened leadership team, franchise-system alignment and a Strategic Activation Office coordinating the work.

Franchisees are central to that effort. As of December 28, 2025, Wendy’s had 7,397 restaurants across the U.S. and 38 foreign countries and U.S. territories; franchisees operated 5,546 of its 5,969 U.S. locations. The company earns restaurant sales revenue as well as royalties, fees, advertising contributions and rent from franchisees.

## How The 15% Tripwire Works

The rights plan can impose [significant dilution](https://www.sec.gov/Archives/edgar/data/0000030697/000119312526448576/d305992d8k.htm?ref=bullished.co) on an investor or group that reaches the threshold without board or committee approval. Certain derivatives that provide economic exposure to Wendy’s shares count toward ownership. Trian-affiliated directors were excluded from the board’s adoption of the plan.

If the plan is triggered, the buyer’s rights become void. Other holders can buy shares worth twice the exercise price; alternatively, the board can exchange their rights for shares, subject to the plan’s terms. Existing holders at or above 15% are protected unless they buy more while remaining at or above the threshold.

Wendy’s said the defense aims to prevent control without an appropriate premium for all shareholders and give independent directors time to evaluate proposals. The plan can make an unapproved takeover harder, but does not interfere with a board-approved deal.

## Employee Protections Reach Peltz Transactions

The board also removed exclusions for takeover-related transactions involving Nelson Peltz, Peter W. May or entities either controls from its employee award plans.

The changes establish an 18-month post-takeover protection period for special award vesting and severance after qualifying dismissals or resignations. A resignation for a qualifying reason receives the same treatment as a dismissal without cause, including salary continuation, annual cash incentives, benefits and equity-award treatment.

Performance awards would convert into restricted stock units after a qualifying takeover. Completed measurement periods use actual results; unfinished periods generally use the greater of actual performance and target, while relative shareholder-return measures use actual performance.

The takeover defense expires November 3, 2027, unless Wendy’s redeems or exchanges the rights earlier.
