# Viking Global Crosses 5% In Mid-America Apartment Communities, Filing Says It Wants No Control

Viking Global Investors holds [5,886,299 shares](https://www.sec.gov/Archives/edgar/data/0001103804/000090514826004368/xslSCHEDULE%5F13G%5FX01/primary%5Fdoc.xml?ref=bullished.co) of Mid-America Apartment Communities, or 5.07% of the common stock, according to a Schedule 13G filed Monday. The form, a passive ownership disclosure, lists September 28 as the event date and certifies the shares were not bought to influence control of the company.

## What the Schedule 13G says

The [5.07% figure](https://www.sec.gov/Archives/edgar/data/0001103804/000090514826004368/xslSCHEDULE%5F13G%5FX01/primary%5Fdoc.xml?ref=bullished.co) rests on 116,021,957 shares outstanding as of July 27, which Mid-America reported in its 10-Q filed July 30, the filing says.

Viking, based in Stamford, Connecticut, lists a dozen reporting persons. Only four vehicles hold shares directly:

- Viking Global Equities Master: 3,709,586 shares, or 3.2% of the class.
- Viking Long Fund Master: 1,362,877 shares, or 1.2%.
- Viking Global Opportunities Liquid Portfolio Sub-Master: 738,131 shares, or 0.6%.
- Viking Global Equities II: 75,705 shares, or 0.1%.

Viking Global Investors provides managerial services to those four and has authority to vote and dispose of their shares. It does not own any shares directly, the filing says.

## Who is on the form

Founders O. Andreas Halvorsen and Rose S. Shabet are also reporting persons. As executive committee members of the entities that run the funds, they share authority over all 5,886,299 shares and hold sole voting power over none, the filing says.

Neither owns shares directly, though each may be deemed to beneficially own the full stake under SEC Rule 13d-3\. Viking Global Performance, which manages the Equities Master fund and is general partner of Equities II, is listed with 3,785,291 shares, or 3.3%.

## What it changes

Crossing 5% triggers the disclosure, and the filing puts Viking on record as a passive holder. In the certification, Viking says the shares "were not acquired and are not held for the purpose of or with the effect of changing or influencing the control of the issuer."

The filing gives no price paid and no sign of a plan to engage with management. For other Mid-America holders, the share count did not change; one more large owner now appears on the register.

In Monday trading, as of 5:36 p.m. ET, Mid-America shares were at $116.47, up 1.04%, for a market value of $13.4 billion (market data).

The filing's own certification is the operative line: Viking says the stake is held without any purpose of influencing control of Mid-America.
