Vanguard Capital Management disclosed a [5% stake](https://www.sec.gov/Archives/edgar/data/0002100119/000210011926001656/xslSCHEDULE%5F13G%5FX01/primary%5Fdoc.xml?ref=bullished.co) in Ouster, the lidar sensor maker, in a passive ownership filing on Friday. The position totals 3,606,687 common shares.

## Votes on a fraction of the shares

Vanguard Capital Management, an investment adviser based in Malvern, Pennsylvania, holds [sole voting power](https://www.sec.gov/Archives/edgar/data/0002100119/000210011926001656/xslSCHEDULE%5F13G%5FX01/primary%5Fdoc.xml?ref=bullished.co) over 536,479 of the shares, the Schedule 13G shows. Shared voting power covers none.

The 5% is a cover-page figure under SEC beneficial-ownership rules, and the event date listed is September 30, 2026\. The filing counts shares held by Vanguard funds, or portions of them, over which the firm has dispositive power, along with client holdings handled by several Vanguard affiliates.

Vanguard certified that the shares were acquired and are held in the ordinary course of business, not to change or influence control of Ouster.

## A lidar maker ahead of earnings

Ouster makes digital lidar sensors, which use laser pulses to build 3D views of the physical world, plus cameras, AI computing hardware and perception software. It sells into industrial, smart infrastructure, robotics and automotive markets.

Ouster shares traded at $28.48 in Friday trading, down about 11% from the prior close of $32.14\. The company's market value was about $2.3 billion.

Ouster reports [third-quarter results](https://finance.yahoo.com/markets/stocks/articles/ouster-q3-earnings-deck-buy-115500138.html?.tsrc=rss&ref=bullished.co) on November 3 after the market closes, according to a Yahoo Finance preview. Its own guidance calls for revenue of $54.5 million to $57.5 million. The Rev8 sensor platform, expected to reach production volumes only late in the quarter, is its main near-term product catalyst.
