# Vanguard Capital Management Reports 5.11% Passive Stake In AST SpaceMobile

Vanguard Capital Management holds [5.11% of AST SpaceMobile](https://www.sec.gov/Archives/edgar/data/0002100119/000210011926001548/xslSCHEDULE%5F13G%5FX01/primary%5Fdoc.xml?ref=bullished.co), or 15,330,194 common shares, according to a Schedule 13G passive ownership disclosure filed Friday. [AST SpaceMobile](https://www.bullished.co/tag/asts/), which is building a satellite network to deliver cellular broadband directly to smartphones, shares the register with other large holders.

## A passive stake with limited voting power

Vanguard reported [sole voting power over 2,383,666](https://www.sec.gov/Archives/edgar/data/0002100119/000210011926001548/xslSCHEDULE%5F13G%5FX01/primary%5Fdoc.xml?ref=bullished.co) of the shares and no shared voting power. The percentage uses the cover-page method, which counts any shares a holder could acquire within 60 days.

The filing lists September 30, 2026 as the event date. Vanguard certified the shares were acquired and are held in the ordinary course of business, not to change or influence control of the company.

## A stock down 40% this year

AST SpaceMobile shares traded at $41.47 in Friday trading, down about 4% from the prior close of $43.07, for a market value of $12.9 billion. The stock has dropped [40% so far this year](https://finance.yahoo.com/markets/stocks/articles/asts-stock-gains-fcc-plan-193907272.html?ref=bullished.co), and it hit a [52-week low of $36.72](https://finance.yahoo.com/markets/stocks/articles/asts-stock-logs-best-day-061149556.html?ref=bullished.co) last Friday. BlackRock separately disclosed a 5.4% stake worth $676 million as of September 30.

The company plans to sell its service through mobile carriers, generally on a revenue-sharing basis. Its 10-K for 2025 says the service has not launched and has generated no revenue. It cites partnerships with over 50 carriers and definitive agreements with AT&T, Verizon, Vodafone and Saudi Telecom Company.

## Regulatory and build-out steps ahead

The FCC's proposal to expand spectrum for satellite-to-phone service is open for public comment and is not final. In Brazil, AST's gateways must still move from planning to installation.

Vanguard's sole voting power covers 2,383,666 shares, a fraction of the 15.3 million it reports.
