UWM Holdings filed an 8-K on Thursday registering for resale a package of preferred stock, two classes of warrants, and [up to 330 million shares](https://www.sec.gov/Archives/edgar/data/0001783398/000162828026064304/xbrl-20261001.htm?ref=bullished.co) of Class A Common Stock tied to a securities purchase agreement it struck with Oaktree Capital Management and affiliated insiders in August. The filing removes the last procedural barrier for those investors to sell their stakes in the open market.

## What The Filing Says

The 8-K, signed by Executive Vice President and Chief Financial Officer Rami Hasani, covers four categories of securities issued under a purchase agreement dated August 5, 2026\. The counterparties named in the filing are funds affiliated with Oaktree Capital Management, SFS Holding Corp., Mat Ishbia, and SFS Group Capital.

On the preferred side, the registration covers [1.5 million shares](https://www.sec.gov/Archives/edgar/data/0001783398/000162828026064304/xbrl-20261001.htm?ref=bullished.co) of Series A-1 Preferred Stock, each with a par value of $0.0001 per share. On the warrant side, it covers two equal tranches: 165 million Class A Warrants carrying an exercise price of $6.00 per share, and 165 million Class B Warrants carrying an exercise price of $2.00 per share. The 330 million common shares registered are those issuable if and when holders exercise those warrants.

The filing's operative exhibit is a legal opinion from law firm Greenberg Traurig, submitted as Exhibit 5.1 to UWM's existing shelf registration statement — a standing authorization that lets a company register or sell securities quickly without filing an entirely new registration each time. Greenberg Traurig concluded that the preferred shares have been "validly issued and are fully paid and nonassessable," and that both the Class A and Class B Warrants "constitute valid and binding obligations of UWMC, enforceable against UWMC in accordance with their terms," according to the [legal opinion](https://www.sec.gov/Archives/edgar/data/0001783398/000162828026064304/exhibit51-8xk.htm?ref=bullished.co) filed as part of the 8-K.

## The Dilution Math For Existing Holders

The 330 million shares registered are not yet outstanding — they come into existence only if warrant holders choose to exercise. But the potential dilution is substantial relative to where UWMC trades today.

The Class B Warrants, with a $2.00 exercise price, are already above the stock's Thursday regular-session close of $1.20 — meaning those warrants are currently out of the money and would only be exercised if the share price climbs past $2.00\. The Class A Warrants, at $6.00 per share, are further still from being in the money at current levels.

UWMC shares edged up about 2% to $1.23 in Thursday after-hours trading following the disclosure, compared with the $1.20 regular-session close, according to market data.

## What To Watch

Now that the resale registration is effective, the key question is whether any of the named selling stockholders — Oaktree-affiliated funds, Mat Ishbia, SFS Holding Corp., or SFS Group Capital — begin selling into the market. The registration clears the legal path; it does not compel any sale.

For warrant holders specifically, the economics hinge on where UWMC's share price goes from here. The Class B Warrants at $2.00 become exercisable — and potentially profitable — only if the stock climbs roughly 67% from Thursday's close. The Class A Warrants at $6.00 would require a move of five times the current price before exercise makes financial sense.

The next concrete signal to watch is any Form 4 or Schedule 13D/G amendment from Oaktree-affiliated funds, Mat Ishbia, SFS Holding Corp., or SFS Group Capital indicating that selling has begun.
