# UMB Financial Agrees To Buy El Dorado Savings Bank, Pushing Into Northern California

[UMB Financial](https://www.bullished.co/tag/umbf/), the Kansas City bank holding company, has agreed to buy El Dorado Savings Bank of Placerville, California, and told employees in an [email filed Tuesday](https://www.sec.gov/Archives/edgar/data/0000101382/000119312526434397/d228036d425.htm?ref=bullished.co) that the deal would carry its retail business into Northern California and Western Nevada.

## Three benefits UMB expects

The email, sent to staff Tuesday, lists three opportunities UMB expects from the acquisition. The first is a retail presence in Northern California, with added reach into Western Nevada.

The second is a new client base in new markets, where UMB sees chances to cross-sell its products. The third is new growth across its lines of business, along with what the email calls a continued demonstration of UMB's operational strength and stability.

The email describes the acquisition as "[yet another driver](https://www.sec.gov/Archives/edgar/data/0000101382/000119312526434397/d228036d425.htm?ref=bullished.co) for our company's ongoing momentum and growth." It follows a company announcement of the agreement earlier the same day.

## A Midwestern bank heads west

UMB is a financial holding company whose national bank, UMB Bank, offers banking, asset-management, trust, bankcard and cash-management services, mainly across the Midwestern, Southwestern and Western United States. It also runs UMB Fund Services, which handles fund accounting and transfer agency work for mutual fund and alternative-investment groups. Its market value was $10.2 billion in Tuesday's report.

El Dorado Savings Bank, F.S.B., is based on El Dorado Road in Placerville, California.

## Integration work and the S-4 to come

UMB told employees it has begun integration and conversion planning, including the steps needed for regulatory approval and closing. It asked staff to keep observing communication and business constraints in the meantime.

UMB intends to file a registration statement on Form S-4 with the SEC, including a prospectus. That prospectus will go to El Dorado shareholders, who will also receive an information statement or proxy.

The S-4 and its prospectus are the next documents UMB plans to file, and El Dorado shareholders will receive them.
