# Ultragenyx Agrees To Sell Pediatric Disease Review Voucher For $203 Million In Cash

[Ultragenyx](https://www.bullished.co/tag/rare/) agreed to sell a Rare Pediatric Disease Priority Review Voucher for [$203 million in cash](https://www.sec.gov/Archives/edgar/data/0001515673/000119312526421079/rare-20261008.htm?ref=bullished.co), according to an [8-K](https://www.bullished.co/learn/8-k-items-explained/) filed Wednesday. The company signed the asset purchase agreement on October 8.

## What the 8-K says

The filing says the buyer will pay the [$203 million at closing](https://www.sec.gov/Archives/edgar/data/0001515673/000119312526421079/rare-20261008.htm?ref=bullished.co). It does not name the buyer in the text provided.

The FDA awarded the voucher to Ultragenyx on September 17, 2026, when it approved FAYUVI, also known as UX111, for children with mucopolysaccharidosis type IIIA, or Sanfilippo syndrome Type A.

The agreement carries customary representations, warranties, covenants and indemnification terms, subject to limits. Closing depends on the expiration or termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, the U.S. premerger antitrust review law.

It tied the voucher to approval of Genglycos, a different drug, and said 20% of the proceeds is owed to the NIH under a prior patent license.
