# Ultragenyx Agrees To Sell FDA Priority Review Voucher For $210 Million Cash, 8-K Says

Ultragenyx Pharmaceutical agreed to sell a Rare Pediatric Disease Priority Review Voucher for [$210 million in cash](https://www.sec.gov/Archives/edgar/data/0001515673/000119312526416251/rare-20261006.htm?ref=bullished.co), according to an 8-K covering an October 6 agreement. The filing does not name the buyer, and the sale has not yet closed.

## What the 8-K says

Ultragenyx signed an asset purchase agreement on October 6, the filing says. Under it, the buyer will pay $210 million in cash when the deal closes.

The FDA awarded the voucher on August 19, 2026, when it approved GENGLYCOS (also called DTX401). The therapy is cleared for adults and children eight and older with glycogen storage disease type Ia.

The agreement carries customary representations, warranties, covenants and indemnification provisions, subject to certain limits, the company said.

## What it changes for the company

The voucher, which the FDA granted with the approval, converts into cash once the sale closes. Not all of it stays with Ultragenyx.

A patent license agreement with the National Institutes of Health, dated December 10, 2018, requires the company to pay the agency 20% of the gross proceeds after closing. The filing does not state a dollar amount for that payment.

The company's board does not say in the filing how it will use the remaining proceeds. The 8-K is silent on the buyer's identity and on any other terms beyond those above.

## What to watch

Closing depends on customary conditions, including expiration or termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976.

The company said the full agreement will be filed with its annual report on Form 10-K for the year ended December 31, 2026\. That filing should show the remaining terms.

In market data from Wednesday at 9:01 a.m. ET, the shares were at $14.46, down 0.28%.
