Trillium Asset Management is urging [Microsoft](https://www.bullished.co/tag/msft/) shareholders to back a climate-disclosure proposal the board opposes, arguing in an [exempt solicitation](https://www.sec.gov/Archives/edgar/data/0000884541/000121465926013276/y1027263px14a6g.htm?ref=bullished.co) that the company's emissions ended fiscal 2025 [62% above](https://www.sec.gov/Archives/edgar/data/0000884541/000121465926013276/y1027263px14a6g.htm?ref=bullished.co) their fiscal 2020 baseline. Trillium attributes the rise mainly to the growth of Microsoft's AI business; shareholders vote on Proposal 4 at the annual meeting on December 8, 2026.

## What Proposal 4 asks for

The proposal asks Microsoft to disclose more on how it will meet its climate commitments, beyond what it already reports, at reasonable cost, leaving out proprietary information, and every year. It centers on the 2030 targets: near-zero operational emissions, a cut of more than 50% in Scope 3 (supply-chain and customer-use) emissions, and carbon-negative status.

Trillium says it is not seeking proxy authority and no proxy cards will be accepted; shareholders vote through Microsoft's own proxy materials. The firm lists examples of useful disclosure: a transition plan, a contingency plan, a stress test, an emissions pathway to 2030, emissions enabled by AI software sold to the oil and gas industry, and hourly clean-energy matching data.

On the last item, Trillium notes Microsoft set a 2021 target to match 100% of its electricity use with clean energy hourly by 2030, and asks why that target no longer appears in its sustainability reporting. It also says Microsoft published an emissions pathway in 2020 but not since.

## Rebutting the board's objections

Microsoft contends the proposal would force a separate, stand-alone report. Trillium calls that incorrect, saying the proposal does not dictate where the information appears. To the board's objection that it would focus on speculative outcomes, Trillium replies that Microsoft already publishes caveated projections on revenue, spending and earnings growth, and could apply the same caveats to climate.

Trillium also points to Microsoft's own 2020 carbon-negative announcement, which said progress required "not just a bold goal but a detailed plan." The firm names transition plans from Ball Corporation, National Grid, BHP, Danone, Philip Morris, Aviva and KPMG as models.

## Reputation and brand at stake

Microsoft, the software and cloud giant behind Windows, Azure and Microsoft 365, faces scrutiny over its AI spending, community opposition to data centers and a suit from investors alleging inadequate disclosure of AI and cloud spending, Trillium says. It argues that missing the 2030 targets would add to those credibility risks.

Citing Brand Finance, Trillium says $22.7 billion of Microsoft's brand value in 2024 was tied to consumer belief in its sustainability, second only to Apple. It also cites a July 2026 Gallup survey in which 9% of Americans said AI does more good than harm.

Microsoft shares traded at $532.61 in Tuesday trading, for a market value of $3.95 trillion.

Trillium's case rests on Microsoft's own words from 2020, and shareholders will decide on December 8, 2026 whether to hold the company to them.
