[Terex](https://www.bullished.co/tag/tex/) sold Capacity and LayMor, two businesses it acquired with REV Group, to Right Lane Industries on October 23 for about $33 million, and took a [$20 million non-cash loss](https://www.sec.gov/Archives/edgar/data/0000097216/000009721626000142/tex-20260930.htm?ref=bullished.co) on them, according to its quarterly report filed Thursday. The company makes waste-handling, materials-processing, aerial-lift and specialty vehicle equipment.

## Writing down Capacity and LayMor

The two businesses sat in the Specialty Vehicles segment and met the held-for-sale test at September 30\. Their carrying value exceeded expected sale proceeds less selling costs, producing a $17 million loss. Terex then agreed to indemnify the buyer for certain items, adding $3 million.

The $20 million hit runs through selling, general and administrative expenses for the third quarter. Terex said any adjustment to it will be recognized in the fourth quarter of 2026.

In the filing's reconciliation, Specialty Vehicles posted operating profit of $43 million against adjusted operating profit of $99 million on $657 million of sales. The segment's adjustments include $20 million of divestiture losses.

## Purchase accounting keeps moving

Terex closed the REV acquisition on February 2, 2026, and the accounting for it is still provisional. The company can revise it for up to a year after closing. In the third quarter it cut goodwill by about $42 million and raised identifiable intangibles by $63 million. That reverses the direction of the [prior quarter's revision](https://www.sec.gov/Archives/edgar/data/0000097216/000009721626000116/tex-20260630.htm?ref=bullished.co), which added about $19 million to goodwill.

Specialty Vehicles goodwill stood at $1,425 million at September 30\. Terex said the revisions would not have materially changed earlier 2026 quarterly results.

Remaining performance obligations, the revenue Terex expects from unfulfilled contracts, reached $3,531 million, against $39 million at December 31, 2025\. About 42% should convert to revenue within twelve months.

## A $500 million buyback and the Aerials sale

In October the board authorized repurchases of [up to $500 million](https://www.sec.gov/Archives/edgar/data/0000097216/000009721626000142/tex-20260930.htm?ref=bullished.co), on top of two earlier $150 million programs, according to the filing. About $111 million remained under those older programs at September 30.

In its [earnings release](https://www.sec.gov/Archives/edgar/data/0000097216/000009721626000138/terexearningsreleaseexq3-26.htm?ref=bullished.co), Terex said CEO Simon Meester described a shift from weighing inbound interest to active engagement with multiple strategic counterparties on separating its Aerials segment. Third-quarter net income was $114 million on sales of $2,197 million, and backlog was $7.0 billion. Terex's market value was about $6.1 billion in Thursday trading.

Fourth-quarter results will show whether the $20 million loss on Capacity and LayMor changes, and the REV purchase accounting stays open until a year after the February 2 closing.
