[Terex](https://www.bullished.co/tag/tex/), which makes aerial lifts, waste-truck bodies, utility equipment and rock-crushing machines, has moved from weighing inbound interest in its aerials segment to active talks with multiple strategic counterparties, CEO Simon Meester said on the company's [third-quarter earnings call](https://www.prnewswire.com/news-releases/terex-reports-third-quarter-2026-results-302921404.html?ref=bullished.co) on Wednesday. He said Terex will not name the parties or set a timeline.

## No names, no deadline

Meester said the aim is an outcome that reflects Genie's brand, global footprint and products and that maximizes value for shareholders. Given the active nature of the talks, he said, the company will not comment on individual counterparties or set a specific timeline.

An analyst at Evercore ISI asked whether the holdup was buyers' demands on deal structure or simply price. Meester answered, "I'm not going to comment on what kind of the nature of the discussions are." He added that doing so would not serve shareholders' interests.

An analyst at Citi asked whether the carve-out could be finished by year-end. Meester said a lot of the work is behind the company but he did not want to get into "timing or deadline commitments."

## Carve-out work and the buyback

Meester said aerials has been part of Terex for 25 years, so there is a lot of structure involved. Jennifer Kong, Terex's senior vice president and chief financial officer, said much of the work to untangle the legal entities was done over the last nine months and the company is comfortable with its progress.

The board approved a new [$500 million share repurchase authorization](https://www.prnewswire.com/news-releases/terex-reports-third-quarter-2026-results-302921404.html?ref=bullished.co) on top of $111 million left under earlier programs, for $611 million of total capacity. Kong said the new authorization reflects normal business and that the company will buy shares opportunistically with or without an aerials deal, adding that analysts should not read too much into it. Terex bought back $72 million of stock in the quarter and paid $19 million in dividends.

## Portfolio pruning continues

Terex has also sold Capacity and LayMor to [Right Lane Industries](https://markets.ft.com/data/announce/detail?dockey=600-202610260930BIZWIRE%5FUSPRX%5F%5F%5F%5F20261026%5FBW429500-1&ref=bullished.co). Meester called it a relatively small transaction. Kong said the two businesses have historically produced $125 million to $150 million of annual revenue at mid- to high-single-digit EBITDA margins.

Meester said Terex is focused on the aerials process and on finishing integration of its new segment, but will keep assessing its portfolio opportunistically.

For the quarter, [sales were $2.2 billion](https://finance.yahoo.com/markets/stocks/articles/terex-tex-q3-earnings-revenues-113507226.html?.tsrc=rss&ref=bullished.co), up about 12% from a year earlier on a pro forma basis, and adjusted EBITDA was $286 million. Terex now expects 2026 sales of $8 billion to $8.2 billion and adjusted pro forma EBITDA of $930 million to $960 million. It raised its free cash flow outlook to $360 million to $400 million. Terex had a market value of $5.7 billion.

Terex said it will give its 2027 guidance in February.
