# Standard BioTools Agrees To Sell Microfluidics Business To ARCHIMED, With Closing Targeted In About 30 Days

Standard BioTools [signed a definitive agreement](https://www.sec.gov/Archives/edgar/data/0001162194/000114036126038624/ef20083295%5F8k.htm?ref=bullished.co) on Monday to sell its Microfluidics business to ARCHIMED, an investment firm the company describes as focused exclusively on healthcare. An 8-K and its attached press release say the deal is expected to close in about 30 days, and neither gives a purchase price.

## What the 8-K says

Closing is subject to customary conditions. Until then, Microfluidics keeps operating as part of Standard BioTools, the company said.

CEO Michael Egholm said ARCHIMED "brings deep healthcare and life sciences expertise." He called the sale a "strong outcome for our employees and our customers." He also described it as "another important step in the strategic actions we laid out for Standard BioTools and our shareholders."

The filing lists the risks. The sale could close late or not at all. Conditions might go unmet or unwaived. A termination could require Standard BioTools to pay a termination fee or other expenses. Competing offers for the business could also appear.

## What it changes

Microfluidics is the second business Standard BioTools has moved to sell while it works toward a pending transaction with Treeline Biosciences. The 8-K says the company filed a Form S-4 registration statement, which included a preliminary proxy statement, on July 20, 2026, for the Treeline stockholder vote.

In a [September 30 update](https://www.globenewswire.com/news-release/2026/09/30/3372411/0/en/standard-biotools-provides-update-on-sale-of-mass-cytometry-business.html?ref=bullished.co), the company said it ended its Mass Cytometry sale to Multiplex Bio. It agreed instead to sell that unit to Element Biosystems for $5.5 million in cash, after the board judged an unsolicited proposal superior.

Because no price appears for Microfluidics, the filing materials do not show what the sale brings in.

Shares closed at $0.76 on Monday, up 2.46% for the session (market data). The 4:16 p.m. ET filing came after the close, so that move predates the announcement.

## What to watch

Watch whether the ARCHIMED sale closes within the roughly 30 days the company targets. Also watch for the definitive proxy materials for the Treeline vote. The 8-K says a definitive proxy statement and prospectus will be mailed to stockholders "if and when available."
