[Roku](https://www.bullished.co/tag/roku/), which runs a TV streaming platform, became wholly owned by Fox on Friday, with eligible shareholders entitled to [$95.30 in cash](https://www.sec.gov/Archives/edgar/data/0001428439/000119312526451874/d181620d8k.htm?ref=bullished.co) and 0.9799 Fox Class A shares for each Roku share. The completed takeover replaces their Roku ownership with merger payments, according to the company’s SEC filing.

## Cash And Fox Stock Replace Roku

The payment terms cover eligible Class A and Class B shares and incorporate adjustments for holders who sought appraisal — a legal process for determining the value of their shares. Those holders retain their appraisal rights rather than the standard merger payment.

Shareholders will receive cash for fractional Fox shares rather than fractional stock. Other than the right to merger consideration, eligible holders’ rights as Roku shareholders ended at closing.

Roku requested the removal of its shares from Nasdaq and plans to deregister them and suspend its SEC reporting obligations. Trading is scheduled to halt before Monday’s opening.

## Fox Takes Control Of Roku’s Business

The takeover completes the deal agreed on [June 14, 2026](https://www.sec.gov/Archives/edgar/data/0001428439/000119312526451874/d181620d8k.htm?ref=bullished.co). Following the merger’s corporate and limited-liability-company steps, the surviving business operates as Roku, LLC, wholly owned by Fox.

Roku’s platform business earns money from digital advertising and streaming-service distribution, including subscription revenue sharing. Its devices business sells streaming players, Roku-made TVs, smart projectors, smart-home products, audio equipment and accessories. The Roku TV OS powers streaming devices and TVs made by partner manufacturers; Roku also operates The Roku Channel, Howdy and Frndly TV.

Directors Anthony Wood, Jeffrey Blackburn, Mai Fyfield, Jeffrey Hastings, Laurie Simon Hodrick, Neil Hunt, Gina Luna and Ray Rothrock resigned at closing. Roku said their departures did not stem from disagreements over its operations, policies or practices. Its executive officers also ceased holding office, while the managers and officers of Fox’s merger subsidiary took the surviving entity’s corresponding roles.

## Employee Awards Keep Their Vesting Schedules

Unvested restricted stock units — awards tied to shares — became cash-linked awards and Fox stock awards. Both retain their existing vesting schedules and contractual rights to accelerated vesting. Fox can settle the cash-linked portion with cash, shares or a combination.

Vested, unexercised options classified as in the money converted into merger consideration less their exercise prices, paid in the deal’s cash-and-stock proportions. Outstanding out-of-the-money options were canceled without payment.

Unvested options converted into cash-linked awards and Fox options, preserving vesting schedules and contractual acceleration rights. The cash-linked component subtracts 60% of the original exercise price from the per-share cash payment; the Fox option component uses the exchange ratio and the remaining 40% in its exercise-price calculation.

Roku also terminated its credit agreement, which had no outstanding borrowings. Amounts then due were paid and discharged, lending commitments ended, and related liens and guarantees were released.

Monday’s pre-opening trading halt is the next step in ending Roku’s Nasdaq listing; shareholders’ entitlement is now to cash and Fox stock rather than an independent Roku stake.
