ProPetro's board [appointed Kyle Crowley as a director](https://www.sec.gov/Archives/edgar/data/0001680247/000168024726000116/pump-20261015.htm?ref=bullished.co) effective October 16, an 8-K filed Monday shows, expanding the board to make room for a former Exelon executive. The company's press release says he led more than 65 closed transactions with total equity value of over $38 billion.

## What the 8-K says

The board voted on October 15 to add Crowley in connection with an increase in board size. His term runs to the 2027 annual meeting of stockholders, or until a successor is elected.

The board determined he meets New York Stock Exchange independence rules and qualifies as an "audit committee financial expert." He will receive the standard non-employee director pay under the company's compensation policy, and ProPetro signed an indemnification agreement with him covering liability tied to his board service.

The filing also reports no transactions between the company and Crowley that would require disclosure.

## Who Crowley is

According to the [press release](https://www.sec.gov/Archives/edgar/data/0001680247/000168024726000116/kylecrowleyappointment.htm?ref=bullished.co), Crowley spent 21 years at Exelon. He was senior vice president and chief development officer from December 2010 to October 2022, then senior vice president of corporate finance and development until June 2024.

His closed deals at Exelon included the Pepco Holdings acquisition, the Constellation Energy acquisition and the 2022 spin-off of Constellation Energy Corporation. Earlier he held investment banking roles at Lehman Brothers, J.P. Morgan & Co. and Houlihan Lokey.

He is now a director and strategic advisor at Cogentrix Energy, a power producer with 5.5 gigawatts of natural gas generation capacity. He is also a director of ONE Nuclear and Hennessy Capital Investment Corp. VIII, and chairs the board of New Mexico Gas Company.

## Why PROPWR is the stated reason

CEO Sam Sledge said Crowley's addition "reflects where ProPetro is headed." He added that as PROPWR, the company's gas-to-power division serving data center, oil and gas, and industrial customers, "scales into a larger part of our business," Crowley's experience in power markets and deal execution "will be invaluable."

Chairman Phillip Gobe said Crowley's judgment and governance experience would strengthen the board. Crowley himself described demand for dispatchable power from data centers and industrial customers as "unprecedented."

PUMP shares closed at $7.80 in Monday trading, per market data.

Crowley's term ends at the 2027 annual meeting of stockholders, where he would stand for election.
