PNC Chairman and CEO Bill Demchak said on the bank's [third-quarter earnings call](https://finance.yahoo.com/markets/stocks/articles/pnc-reports-third-quarter-2026-103100097.html?ref=bullished.co) that he is hesitant to risk slowing the bank's in-house AI work with an acquisition of any size. "I think you could destroy massive value," he told a Jefferies analyst who asked about M&A appetite after the First Bank deal.

## What Demchak said about M&A

Demchak said [PNC](https://www.bullished.co/tag/pnc/)'s organic growth is surprising even the bank, and that the AI foundation and the organizational change that comes with it are why he is wary of a deal. An acquisition, he said, would perhaps necessarily slow that work.

He left a narrow opening: "There's always small things," he said, and "you can never say never." But he called the planned transformation "strategically more important than bulk."

PNC has been "purposefully quiet" on its AI program, Demchak said, which he described as aimed at an agentic workforce, meaning a company able to deploy AI agents across workloads. The groundwork is done, he said: a single data lake, digitized policies and procedures, HR systems that treat agents as employees, and a risk framework on access control. Next comes re-engineering the company with AI tools, which he said should speed technology development and lower its cost, followed by product work that aids revenue.

## Doing it in-house, and the agent warning

Demchak said lasting success requires doing the work "without vendor support, without compute costs coming from third parties, and with your own personnel instead of vendors." Today the cost shows up mostly as creeping depreciation from data center rebuilds that include GPU chips, he said, along with incremental cyber costs tied to frontier AI models.

Asked by an analyst at RBC Capital Markets whether AI agents moving deposits could push up industry deposit costs, Demchak said deposit movement will keep getting more efficient. But he called current attempts by new agentic applications to transact inside customer accounts "incredibly unsafe." He added "Bad idea" and "not going to happen on my watch."

He said such a shift would need laws on liability, secure connections, authentication and a human in the loop. To compete, he said, PNC will have to give clients technology as good as third-party providers' and produce it cheaply.

## The numbers behind the confidence

PNC [reported](https://finance.yahoo.com/markets/stocks/articles/pnc-reports-third-quarter-2026-103100097.html?ref=bullished.co) $2.1 billion of net income, or $5.09 per diluted share as adjusted, with a return on tangible common equity above 18%. Demchak said loan growth and new-client additions in expansion markets are running faster than the bank expected coming into 2026.

CFO Rob Reilly said the bank is on track to cut costs by $350 million in 2026 through its continuous improvement program, which Reilly said is independent of the First Bank acquisition and funds much of the technology investment.

## What to watch

Demchak said PNC will show results when it has something positive to show. Reilly said the payoff is best viewed over a two-year to three-year timeframe.

Demchak's own framing of the trade-off: "the world's going to change in the next couple years, and we want to lead that."
