# Pinterest Taps Amazon Ads Finance Chief James Dibbo As CFO, With $19.98 Million In Stock Awards

[Pinterest](https://www.bullished.co/tag/pins/) appointed James Dibbo, a finance executive from Amazon, as chief financial officer, according to an [8-K filed Monday](https://www.sec.gov/Archives/edgar/data/0001506293/000150629326000139/pins-20261001.htm?ref=bullished.co). He takes the title October 26 at a $650,000 base salary, and the stock awards in his offer letter are valued at $19,980,000 in restricted stock units.

## What the 8-K says

Dibbo, 56, becomes CFO on October 26 and principal financial officer on October 30\. He reports to CEO Bill Ready, according to the filing.

His annual cash bonus target is 100% of base salary, prorated for 2026 based on his start date.

The equity package is subject to approval by the board's Talent Development and Compensation Committee. It has these parts:

- Restricted stock units with an aggregate initial value of $19,980,000: a $1,980,000 award vesting fully in December 2026, and an $18,000,000 award vesting quarterly from March 2027 through December 2028.
- Performance shares with a target value of $3,200,000, earned on Pinterest's relative total shareholder return over 12-month and 24-month periods.
- A further $9,000,000 restricted stock unit grant that the company anticipates making in April 2027, vesting quarterly in 2029, if he is still employed.

The filing says he has no family ties to any director or executive officer. It also says he is eligible for the company's severance and change-in-control plan for Level 21 positions.

## Who he is and who he replaces

From January 2021 through September 2026, Dibbo was CFO for Global Entertainment, Advertising and Corporate Development at Amazon. He led finance for Amazon Ads, Prime Video, Amazon MGM Studios, Music, Audible and Twitch.

He held other senior finance posts at Amazon from 2016, including CFO of Worldwide Consumer and of North America Consumer. Before that he was CFO of P.F. Chang's and held senior finance roles at Tesco and BT Group.

In a [press release](https://www.sec.gov/Archives/edgar/data/0001506293/000150629326000139/pinterestpressrelease202.htm?ref=bullished.co), Ready called him "an exceptional finance leader." Dibbo will run finance, accounting, investor relations, treasury, tax and internal audit, the release says.

Julia Brau Donnelly, whose departure Pinterest had already disclosed, stops being CFO on October 26\. She stays as principal financial officer and an advisor through October 30, when she leaves for another opportunity.

## What it changes

Vikram Naidu had been slated to serve as interim principal financial officer. He will not take that role and remains vice president of finance and business operations.

Pinterest shares were roughly flat at $20.05 in Monday after-hours trading, against a regular-session close of $20.06\. The filing was accepted at 4:20 p.m. ET, after the close.

The compensation committee still has to approve Dibbo's equity awards, and Donnelly's advisory role runs through October 30.
