[Procter & Gamble](https://www.bullished.co/tag/pg/)'s board declared a [quarterly dividend of $1.0885 per share](https://www.sec.gov/Archives/edgar/data/0000080424/000008042426000214/pg-20261013.htm?ref=bullished.co), the company said in an 8-K filed Tuesday, the day of its annual shareholder meeting. Shareholders elected all 12 director nominees, though the results are preliminary until certified.

## The dividend

The $1.0885 payout covers common stock and the Series A and Series B ESOP Convertible Class A Preferred Stock. It is payable on or after November 16, 2026, according to the [news release](https://www.sec.gov/Archives/edgar/data/0000080424/000008042426000214/pgdividendreleasenov2026.htm?ref=bullished.co) attached to the filing.

Common shareholders of record at the close of business on October 23, 2026 qualify. Preferred holders must be on the books at the start of business that same day.

P&G said it has paid a dividend for 136 consecutive years since its 1890 incorporation and has raised it for 70 consecutive years. The release says the payout reflects a commitment to return cash to shareowners, "many of whom rely on the steady, reliable income earned with their investment in P&G."

## The annual meeting votes

Shareholders elected all 12 director nominees, each with strong support according to preliminary voting results, the company said.

They also voted in favor of two board proposals: ratifying the independent registered public accounting firm and an advisory vote on executive compensation. They voted against three shareholder proposals.

In Tuesday trading at 10:16 a.m. ET, P&G shares were at $152.75, down about 0.3% from the prior close of $153.20, according to market data.

## What to watch

The independent Inspector of Elections must tabulate and certify the votes. P&G said final results will be reported on a Form 8-K filed with the SEC.

Until that second 8-K arrives, every vote figure from Tuesday's meeting is preliminary; the October 23 record date for the dividend is the next fixed date in the filing.
