# OrthoPediatrics Stock Jumps 31% As Its 10-Q Adds An IRS Examination Of 2024

[OrthoPediatrics](https://www.bullished.co/tag/kids/), which designs and sells implants, instruments and braces for children with orthopedic conditions, said in its [10-Q](https://www.sec.gov/Archives/edgar/data/0001425450/000142545026000094/kids-20260930.htm?ref=bullished.co) that the [Internal Revenue Service](https://www.sec.gov/Archives/edgar/data/0001425450/000142545026000094/kids-20260930.htm?ref=bullished.co) is examining its year ended December 31, 2024\. The disclosure sits beside a stock surge: the shares rose 30.81% to $31.16 in Wednesday trading, as of 3:03 p.m. ET, after record third-quarter revenue and a higher full-year outlook.

## A new line on the tax audit

The company said it is "in the early stages of evaluating the scope and potential impact of this examination." The tax note carries no estimate of what the review could cost.

The [prior quarter's filing](https://www.sec.gov/Archives/edgar/data/0001425450/000142545026000070/kids-20260630.htm?ref=bullished.co) had no examination language. The current note says the company learned of the review in the "fourth quarter of 2026."

The same note says deferred tax assets are offset by a valuation allowance. It cites the cumulative loss over the three years ended September 30, 2026 as a significant piece of objective negative evidence. The nine-month tax line was a $46 thousand benefit, against $120 thousand of expense a year earlier.

## Record revenue, raised outlook

Third-quarter revenue rose 19% to $72.7 million from $61.2 million, the [earnings release](https://www.sec.gov/Archives/edgar/data/0001425450/000142545026000091/kidsq32026earningsrelease.htm?ref=bullished.co) said. The company raised 2026 revenue guidance to $270.0 million to $273.0 million from $265.0 million to $269.0 million.

Net loss narrowed to [$5.9 million](https://wtop.com/national/2026/10/orthopediatrics-q3-earnings-snapshot/?ref=bullished.co) from $11.8 million. About $814 thousand of that came from a contingent-consideration gain, which the 10-Q's fair-value note ties to the sales performance of acquired businesses.

Restructuring expense fell to $1 thousand for the first nine months of 2026 from $5.3 million a year earlier, which also helps the comparison.

## Cash, debt and the Braidwell loan

Operating cash flow was positive $2.1 million for the first nine months, against negative $15.2 million a year earlier. Cash, restricted cash and short-term investments stood at $44.9 million on September 30, down from $62.9 million at year-end.

The company has bought small clinics and distributors, paying partly in stock and promissory notes. It amended its MedTech deal to settle cash installments in shares to preserve cash. Its Braidwell term loan carries covenants requiring a minimum cash balance and minimum net product sales.

A $20 million delayed-draw facility, undrawn at September 30, can be tapped until June 30, 2027.

The IRS review is in its early stages, and the 10-Q is the only place the company has put it so far.
