The meeting moved to October 5, 2026, solely for the share proposal, and was then adjourned to October 26, 2026. ## Earlier Votes May Need Renewing For registered shareholders eligible to vote, Ocugen intends to reuse previously submitted proxies that have not been revoked. Those votes will follow the holder's instructions; a proxy without a specified direction will count in favor of Proposal 1. Holders whose shares sit with a bank, broker or other nominee face a different mechanic. Ocugen intends to ask those intermediaries to follow earlier voting instructions, but cautions that it cannot guarantee they will do so without a new instruction form. Holders should check with their intermediary about whether the previous instructions remain effective. Registered holders can change or revoke an earlier proxy through a later proxy card, a new telephone or internet submission, written notice to the corporate secretary, or a vote during the reconvened meeting. ## Eye Therapies Lead The Pipeline Ocugen's central development approach delivers genes called nuclear hormone receptors to the retina through its modifier gene therapy platform.
