[Madison Square Garden Entertainment](https://www.bullished.co/tag/msge/), which owns Madison Square Garden, Radio City Music Hall and three other live venues, adopted a policy that [shields directors and officers who also serve MSG Rangers](https://www.sec.gov/Archives/edgar/data/0001952073/000119312526434281/d175463d8k.htm?ref=bullished.co) from fiduciary-duty liability when they steer business opportunities elsewhere, according to an 8-K filed Tuesday for an October 26 event.

## Waiver now reaches the Rangers

The board acted after MSG Knickerbockers, formerly Madison Square Garden Sports, distributed all shares of MSG Rangers to its stockholders. MSG Rangers was formerly MSGS Spinco.

The company's articles of incorporation already contain "Overlap Provisions" covering people who also serve MSG Knickerbockers, Sphere Entertainment or AMC Global Media. Under them, no such person is liable to the company or its stockholders for breach of fiduciary duty because he or she sends a corporate opportunity to one of those entities instead, or does not pass information about it along. Certain limited restricted opportunities are carved out where the company is directly engaged in that business at the time.

The provisions also validate contracts and transactions between the company and those entities, and say the overlapping individuals' actions in connection with them are not breaches of duty, to the fullest extent the law permits. The new board policy extends all of this to directors and officers who serve MSG Rangers or its subsidiaries.

## Dolan sits atop five companies

James L. Dolan is Executive Chairman and CEO of Madison Square Garden Entertainment. He holds the same posts at Sphere Entertainment, MSG Knickerbockers and MSG Rangers, and is Non-Executive Chairman of AMC Global Media.

Eight of the company's directors also sit on Sphere Entertainment's board, seven on MSG Knickerbockers', four on MSG Rangers' and three on AMC Global Media's. Allen Lo, the company's Executive Vice President and Chief Legal Officer, holds the same title at Sphere Entertainment.

The company flagged where conflicts could arise: acquisitions and other opportunities suited to more than one company, disputes under commercial arrangements between them, and executives' stock and options in the affiliated companies.

## The business behind the boards

Madison Square Garden Entertainment's venues in New York and Chicago also include the Infosys Theater, the Beacon Theatre and The Chicago Theatre. It hosts Knicks and Rangers home games under long-term agreements with Madison Square Garden Sports, and produces the Christmas Spectacular Starring the Radio City Rockettes. In fiscal 2026 it hosted approximately 6.4 million guests at nearly 960 events.

A [law.com report](https://www.law.com/corpcounsel/2026/10/26/msg-entertainment-paid-new-legal-chief-26m-in-first-three-months/?ref=bullished.co) said Lo, a former Meta deputy general counsel, became chief legal officer in late March. A newly filed proxy statement shows he received nearly $2.65 million in compensation in his first three months, the report said.

The overlap policy now binds the Rangers' leaders to the same rules that govern the company's links to Sphere, MSG Knickerbockers and AMC Global Media.
