MiMedx and Sanara MedTech each received a Second Request from the Federal Trade Commission on October 15, MiMedx said in an [8-K filed Friday](https://www.sec.gov/Archives/edgar/data/0001376339/000121390026110047/ea0308833-8k425%5Fmimedx.htm?ref=bullished.co). A Second Request is a demand for additional information and documents, and it lengthens the antitrust review of MiMedx's planned purchase of Sanara.

## What the 8-K says

The FTC sent the request in connection with its review of the merger, according to the filing. The company said the effect is to extend the waiting period under the Hart-Scott-Rodino Act, the federal premerger antitrust law, until 30 days after both parties have substantially complied.

There are two exits from that timetable: the parties can extend the period voluntarily, or the FTC can end it earlier.

MiMedx added that it "[continues to work constructively](https://www.sec.gov/Archives/edgar/data/0001376339/000121390026110047/ea0308833-8k425%5Fmimedx.htm?ref=bullished.co) with the FTC in its review of the Merger." That sentence is the filing's only comment on the agency's review.

## What it changes

The deal cannot close until the waiting period expires or is terminated, and the other closing conditions in the merger agreement are met or waived. The Second Request means the first of those is no longer running on its original schedule.

Under the agreement, MiMedx's subsidiary Mustang Merger Sub would merge into Sanara. Sanara would survive as a wholly owned MiMedx subsidiary.

The filing says MiMedx has already filed a registration statement on Form S-4 containing Sanara's proxy statement, and that the final prospectus has been mailed to Sanara stockholders.

MiMedx shares traded at $4.64 in Friday trading, about 1% below the prior close of $4.68, for a market value of about $683 million.

## What to watch

The date by which MiMedx and Sanara substantially comply with the Second Request now sets when the waiting period can expire.

The filing gives no closing date; it ties the antitrust clock to substantial compliance plus 30 days, unless the parties agree to extend or the FTC ends the wait sooner.
