[LPL Financial](https://www.bullished.co/tag/lpla/), which provides brokerage, advisory and custody services to independent advisors and financial institutions, now expects to keep about 83% of Commonwealth's assets, President and CFO Matt Odette said on the company's third-quarter earnings call Tuesday. The [run-rate EBITDA estimate](https://seekingalpha.com/news/4658387-lpl-financial-holdings-non-gaap-eps-of-5%5F97-beats-by-0%5F28-revenue-of-5%5F34b-misses-by-10m?ref=bullished.co) for the business is about $415 million once it is fully integrated.

## Why retention slipped to 83%

Odette said the company started the deal expecting retention under 90%, and was right around 85% last quarter for advisors who had signed. A small number of those signed advisors then decided not to stay, which brought the figure to 83%.

With conversion about two weeks out, CEO Rich Steinmeier said the company has "increased clarity" on final retention. Commonwealth advisors are due to onboard in mid-November, after 18 months of preparation.

Odette said the $415 million figure works out to a purchase price of roughly eight times EBITDA, which he called a compelling use of capital. He said it matches where original expectations began: retention came in below plan, but synergies came in better. Run-rate EBITDA should be reached by the fourth quarter of 2027, with revenue synergies such as cash sweep economics arriving first and expense savings more gradually.

## Growth hinges on institutions

An analyst noted that organic growth has struggled to break above 5% sustainably and fell below 4% in September. Steinmeier said the third-quarter rate was 5%, and that recruiting has returned to normal levels with a pipeline evenly spread across stages.

But getting to mid-to-high single-digit growth is "generally predicated on contributions from large institutional onboarding" as well as individual advisor recruiting, he said. Those decisions can take quarters or years, and assets can take several more quarters to move, so the timing is "likely increasingly benefiting our 2028 group." He said the company expects to keep winning such deals.

Steinmeier said LPL supports over $600 billion in client assets for institutional partners, which he called multiples of its nearest competitors.

For October, Odette said organic growth should be "in the zone of 3%," since advisory fees hit in the quarter's first month and a larger attrition item hit core LPL. He cautioned against extrapolating August's large join.

## The quarter and what's next

Third-quarter organic net new assets were $29 billion, a 5% annualized rate, and adjusted earnings per share were a [record $5.97](https://seekingalpha.com/news/4658387-lpl-financial-holdings-non-gaap-eps-of-5%5F97-beats-by-0%5F28-revenue-of-5%5F34b-misses-by-10m?ref=bullished.co), up 15% from a year ago. Total client assets were $2.6 trillion. LPL bought back about $300 million of stock and plans another $300 million in the fourth quarter.

Odette narrowed 2026 core G&A expenses to $2.14 billion to $2.16 billion. Steinmeier said pricing work, including cash sweep, will have more to share in the first half of next year.

Commonwealth's roughly 1,000-advisor national conference left an "eager anticipation" mood, Steinmeier said, ahead of the mid-November conversion.
